1.What is the User Agreement and why is it important?

1.1The TranSwap User Agreement (this “Agreement”) is a legally binding agreement between you (“you” or “User”), or any entity you are authorised to represent, and Transwap Technologies (UK) Ltd(“TranSwap”, “we”, “us”, or “our” as applicable).

1.2You are advised to read this Agreement carefully. Transwap Technologies (UK) Ltd is not a bank and therefore the United Kingdom Financial Services Compensation Scheme (FSCS) does not apply.

1.3This Agreement sets out the terms and conditions (“Terms and Conditions” or “terms” as applicable) governing the use of our website www.transwap.com (“Website”) and its related services that we may agree to provide you from time to time (“Services”), including applications which allow you to use our Services. These Terms and Conditions are binding on you therefore it is important that you read and understand this Agreement.

1.4This Agreement includes our Privacy Policy and Cookie Policy which can be found at www.transwap.com.

1.5By accessing and using the Website, you are deemed to have expressly read and understood this Agreement and accepted the Terms and Conditions when you use our Website and our Services. You agree to be bound by these Terms and Conditions and other specific rules and procedures as determined or as may be amended from time to time at our sole discretion.

1.6This Agreement may be subjected to changes at our sole discretion. We will inform you of the changes via your registered email address with us or any other means deemed appropriate by us. By continuing to use our services after the changes, you are deemed to have read and understood the Agreement and accepted the Terms and Conditions.

1.7The headings are for reference only. Please read and understand each individual clause in detail.

2.Who is TranSwap and what do we do?

2.1Transwap Technologies (UK) Ltd is licenced in the UK as an Electronic Money Institution (EMI). TranSwap Technologies (UK) Ltd is authorised and regulated by the Financial Conduct Authority under the Electronic Money Regulations 2011 the purposes of issuing electronic money and provide payment services. Firm Reference Number 963951.

2.2The UK registered office is at 50 Lothian Road, Festival Square, Edinburgh, Scotland, EH3 9WJ and our company registration number is SC663015.

3.Definitions you should know

3.1In this Agreement, unless otherwise expressed in a different context:

  • Account means all your accounts with us, including accounts for the purpose of using any of our Services.
  • App or Application means our mobile application software which you can use to access our Services, including any data and associated media with the software.
  • Authorised Person means a natural person authorised to bind you and/or your company under this Agreement.
  • Authorised User means a natural person authorised by an Authorised Person to use our Services on behalf of your company.
  • Balance means any amount of e-money held in your account with us.
  • Business Day means a day (except Saturdays, Sundays, and public holidays) on which financial institutions are open for business in the United Kingdom.
  • Company or Business or Corporate means an entity who is not a natural person.
  • Customer means any legal person or company who have registered for an account and have been accepted by us.
  • Designated Account means a bank account provided by you to facilitate any future withdrawal requests.
  • E-money means stored value in your Account which is equivalent to the same amount in its corresponding stored currency. All money received in your Account is considered as e-money.
  • Payment transaction or Order means an instruction by a sender to send money to a receiver or an instruction by a Customer to fund an Account. This includes conversion of one currency to another within your Account.
  • Receiving Currency means the currency which your recipient will receive in a payment transaction.
  • Recipient or Beneficiary or Payee means the entity receiving the money from a payment transaction.
  • Services means any form of content, feature, function, product, service, or technology offered by us, including all related websites, applications, and services.
  • Sender or Originator or Payer means the entity initiating a payment transaction. In most cases, this will refer to you.
  • Sending Currency means the currency which you will fund a payment transaction.
  • Source Account means the account from which money is transferred from to fund a Payment Transaction.

4.Who can use our Services?

4.1If you are an individual, you must be at least eighteen (18) years of age.

4.2If you represent a Company, you confirm that you have authority to bind the Company on whose behalf you use our Services, and that the Company accepts all the Terms and Conditions set out in this Agreement.

4.3You must be eligible to register and use our Services and have the right, full authority, and ability to enter into this Agreement and perform under these Terms and Conditions.

4.4You must ensure that you will not be violating any laws or regulations by registering with us, entering into or by performing any part of this Agreement, or by otherwise using our Services.

5.Your Account with TranSwap

5.1Your TranSwap Account allows you to hold, send, or receive payments. Your e-money in your Account is issued in accordance with Payment Services Regulations 2017 and Electronic Money Regulations 2011

5.2Your e-money held in your Account with us:

  • Will not earn any interest;
  • Will be subjected to daily balance limits and annual transaction limits as specified by PSA (For individual customers only);
  • Will not be withdrawable in cash;
  • Belongs to the legal person or company which is registered as our Customer; and
  • Is equivalent to the value of the respective currency it is held in.

5.3You may convert e-money held in a currency in your Account to any other currencies which we support from time to time. A conversion fee may apply for each conversion. You will be able to view the fees before ordering the transfer. You must agree to our fees to proceed with the conversion.

5.4You must not use your Account to send, receive, convert, or transfer on behalf of someone else. If you are an individual, you must not use your Account for business purposes.

5.5Your Wallet is not a deposit account, which means that your funds will not be protected by the Financial Services Compensation Scheme in the United Kingdom. However, we will hold funds received in a designated safekeeping account with a regulated financial institution in accordance with the Electronic Money Regulations 2011 (as amended by the Payment Services Regulations 2017), and those funds will not be used by us other than on your instructions in connection with your Wallet. Your Wallet does not grant or accrue any interest or bonuses related to the duration of time that you hold E-Money with us.

5.6E-money in your Account may be withheld from you if:

  • Part or all of your balances in your Account is under an ongoing investigation either by us or by the relevant authorities.
  • Part or all of your balances in your Account is pending a transaction reversal; or
  • We are prohibited by law to allow the withdrawal of your e-money.

6.Your responsibilities as a User

6.1You play an important part in helping us to provide you a safe environment to use our Services. Please read this section carefully as it will help to protect you when you are using our Services.

6.2Registering Your Account

6.2.1You are required to register for an Account with us at https://app.transwap.com/signup before you can use our Services.

6.2.2As part of our regulatory obligations to the governing authorities, you are required to provide all of the following information:

  • Your full name
  • Your date of birth
  • Your nationality
  • Your country of birth
  • Your unique identification number
  • Your email address – which will be used as your login username
  • Your mobile contact number – which will be used for authenticating and verifying the person using the account. Known as two factor - one time password (2FA – OTP) verification
  • Your residential address
  • Your occupation and industry
  • Your source of wealth
  • Other identification documents and related information when required
  • Other information and/or documents which will allow us to understand your profile better

6.2.3You are required to undergo our identity verification process to allow us to verify your identity. You will be require you to go through a third-party verification system at our cost.

6.2.4You will ensure that all information provided by you as part of your registration and use of our Services is current, accurate, and complete.

6.2.5You will ensure that all of your information provided at registration remains accurate and up to date, and you undertake to promptly notify us of any changes.

6.2.6You must not impersonate any other person, operate under an alias, or otherwise conceal your identity. We will use information provided by you, as well as the information that we receive from the use of the Website and our Services, to facilitate your participation in the services and for other purposes consistent with our Privacy Policy.

6.2.7From time to time, you may be required to provide additional information to allow us to continue providing our Services to you.

6.2.8You will register for an Account with us only once, and each User must maintain a separate registration. If we detect multiple active registrations for a single User, we reserve the right to merge or terminate the registration and refuse all continued use of our Services without notification to you.

6.2.9For Business Accounts, you also agree to the clauses stated on the account opening forms and account update forms (wherever applicable).

6.3Keeping Your Account Safe

6.3.1All instructions received from your registered email address or mobile contact number is deemed to be valid and is binding on you. Therefore, it is important that you keep your account safe at all times.

6.3.2You must never disclose your login credentials or your customer reference number to a third party. We will never ask you for your password or customer reference number. These are not verification questions we ask our customers.

6.3.3You should use a strong password to secure your Account. If you have forgotten your password, you can reset it by requesting for a link to be sent to your registered email address with us at https://app.transwap.com/forgotpassword

6.3.4You must ensure that the email address and mobile contact number provided during registration belongs to you, and that they are secured and only accessible by you. Your email address may be used to reset your login password or to communicate with you about the security of your Account.

6.3.5You must inform us immediately if your mobile contact number has changed, your email address has changed, or either your mobile contact number or email account has been compromised.

6.3.6You must inform us immediately in case of any unauthorised or incorrect transaction, or if you suspect that your Account has been compromised.

6.3.7When accessing your Account, you must ensure that your device is secured and maintained with the latest security updates. You are responsible for ensuring that your login session is safe and secured and that you keep your username and password secure at all times.

6.4Managing Your Account

6.4.1You are responsible for ensuring that your Account is in good order. You must check your Account regularly and inform us immediately if you discover any irregularities.

6.4.2You will receive an email after the completion of every Payment Transaction. Your transactions can also be viewed after logging in to our Website. You must report any disputes within 24 hours from the time of a transaction. By not reporting any disputes to us within 24 hours, you agree that all transactions and entries in your transaction history are considered true and correct.

6.4.3There are risks associated with holding multiple currencies in your Account. We have no control over the fluctuations in the relevant exchange rate pairs. We also have no control over currency controls which may be instituted by the respective corresponding country. By using this Service, you agree and accept all such risks.

6.4.4You must ensure that your Account does not have a negative balance. You agree to have a zero or positive balance in your Account at all times. If your Account goes into a negative balance as a result of any actions carried out by you, including but not limited to fees, chargebacks, and transaction reversal, you must repay the negative balance immediately without requiring us to send you any notice.

6.5Ordering A Payment Transaction

6.5.1You must provide all of the following information for every Payment Transaction:

  • Sending Currency and amount
  • Receiving Currency and amount
  • Name of the Receiver
  • Bank details of the Receiver
  • Other information where applicable or required

6.5.2You are solely responsible for the accuracy and validity of all information submitted to us. You may be charged a fee for any amendments, rejection, cancellation, or retrieval of transaction already completed, regardless if the retrieval is successful or unsuccessful.

6.5.3The exchange rate and transaction fees will be displayed at the ordering screen before you order any transaction. Once you have confirmed that you are agreeable to the displayed exchange rate and transaction fee, the Order cannot be modified. If you need to change any details, you must cancel and start a new payment transaction. Please note that you may or may not get the same exchange rate when you initiate a new payment transaction.

6.5.4Transaction fees displayed does not include any fees your bank or your Recipient’s bank may charge for your Payment Transaction. Depending on the situation, the fees may be deducted from your funds or from the sent amount to your Recipient.

6.5.5You may fund your Payment Transaction via a bank transfer from your bank account or from e-money held in your Account with us. The Source Account must be in your name. We do not accept any form of funding from a third party. We also do not accept other payment methods such as cash or cheque.

6.5.6From time to time, we may allow you to fund your Payment Transaction or deposit e-money to your Account with us using other methods such as credit or debit cards, or similar accounts operated by other payment service providers. Whenever we avail such methods to you, you agree to not perform any chargebacks or refund requests. We are entitled to recovering costs incurred from any investigation regarding such activities from you.

6.5.7We must receive sufficient funds for your Payment Transaction before your Payment Transaction is considered valid. We are not responsible for the time it takes for your bank or any other service provider to process funding instructions. The same applies if you have selected your TranSwap Account as the Source Account.

6.5.8 You may only cancel your Payment Transaction before we receive your funds. If you have chosen to fund your Payment Transaction with existing e-money in your Account, we will treat it as though we have received your funds immediately upon booking. You should contact us at support@transwap.com for any assistance.

6.5.9We may cancel your Payment Transaction if we do not receive your funds within 24 hours.

6.6Receiving Money In Your Account

6.6.1You may receive money into your Account with us via methods which we explicitly allow. We may change these methods from time to time without any notice to you. You are responsible for the accuracy of such details you provide to the sender.

6.6.2You will be able to view the received amount in your transaction history. You should check your transaction history for any discrepancies and inform us immediately of any irregularities.

6.6.3The money being received into your Account may be subject to reversal. This is done on a case-by-case basis. You agree that we may deduct the money from your Account if it was reversed by the sender or any payment service provider, including banks. In such cases, you will be notified of the reversal via your registered email address before we effect the reversal.

6.7Withdrawing Money From Your Account

6.7.1You will not be able to withdraw from your Account in cash.

6.7.2Withdrawals from your Account is identical to a Payment Transaction (refer to Clause 6.5). You will be charged a fee for each withdrawal request. This fee will be displayed at the ordering screen. You can only proceed if you agree with the displayed fees and charges.

6.7.3All information of the bank account required for us to process your Payment Transaction must be added to your list of payees before you can perform the withdrawal.

6.7.4You are responsible for providing accurate bank account information. We are not responsible for any money sent to the wrong recipient due to error arising from information provided by you. In such cases, you may request for a transaction reversal, but we cannot guarantee that such requests will be completed successfully. We may also charge a handling fee for such instructions, regardless if the reversal is completed successfully.

6.7.5We are not responsible for the time your receiving bank or payment service provider takes to receive your money.

6.8Paying Of Fees And Charges

6.8.1You are solely responsible for the following:

  • All fees and charges charged by us and agreed by you during the ordering of a Payment Transaction.
  • All fees and charges charged by your bank arising from funding your Payment Transaction.
  • All fees and charges charged by the receiving bank arising from your Payment Transaction; and
  • All fees and charges involving any amendment, rejection, cancellation, or retrieval for your Payment Transaction.

6.8.2If you fail to pay us the fees and charges specified above in Clause 6.8.1, you authorise us to deduct such fees from your Account with us. If your Account does not have sufficient e-money to cover such amounts, you also authorise us to deduct the amounts from subsequent transactions without requiring any prior notice to you. If you continue to have any outstanding owed to you, we may refuse to our Services to you.

6.9Communications Between Us

6.9.1Our primary method of communication is via email. Therefore, you must ensure that your registered email address with us is valid at all times. Our emails to you may contain links to additional information on our Website. You are required to check your emails regularly and be alert of any information we may send to you.

6.10Adhering To Relevant Laws

6.10.1You must not use your Account or any Services we may provide to you to conduct or facilitate any form of illegal activity including but not limited to fraudulent activity, money laundering, or terrorism financing.

6.10.2You must comply with all laws and regulations related to the use of our Services and the current Anti-Money Laundering and Counter-Terrorism Financing legislation as per the Financial Conduct Authority rules.

6.10.3Anti-Money Laundering and Counter-Terrorism Financing legislation, in accordance with the Financial Conduct Authority rules, prohibits us from doing business with certain individuals and countries.   To allow us to comply with this legislation we are required to carry out certain security measures imposed by governments and countries in which we do business.  If any concern is raised regarding your identity we may require additional proof of identification which may cause a transaction you have requested to be delayed or cancelled.

6.10.4You must not share the access of your Account with a third party. For individual customers, you must remain the sole beneficial owner of your Account.

7.Our responsibilities to you

7.1Safeguarding Your Money

7.1.1As required by law, we must safeguard your money by keeping it with established financial institutions in separate accounts. Money in such accounts do not form part of our assets, and we are not allowed to use the money to finance our operations. These accounts are also not subject to claims by our creditors. If we become insolvent, you can make a claim for your money and it will be return to you, unless the depositing financial institution is insolvent.

7.1.2 We must hold either the exact currency or its equivalent in Singapore Dollars of your money in these separate accounts. Such accounts are usually marked with “Client Account” along with “Transwap Technologies (UK) Ltd”.

7.2 Provision Of Services

7.2.1We aim to allow our Users 24/7 access to our Website, except during scheduled maintenance where we will strive to inform you at least 24 hours prior. However, we reserve the right to temporarily suspend or limit access to all or part of our Website or our Services without notice, whether for maintenance or otherwise.

7.2.2Notwithstanding the above, we do not guarantee that our Website or Services will be always available or be uninterrupted. We cannot be held liable for any downtime to our Website or Services, regardless of scheduled or ad-hoc.

7.3Processing Your Payment Transactions

7.3.1We aim to complete all Payment Transactions within 4 business days. Generally, transactions are completed within 2 business days. For orders involving certain receiving currencies, we may be able to complete your Payment Transaction within the same business day. Please reach out to us to enquire. However, all such transaction processing times are not guaranteed, and we cannot be held liable for any delays.

7.3.2If a Payment Transaction is ordered after 6pm, or any time on a non-business day, it will be considered as ordered on the next business day.

7.3.3You will be informed of the estimated completion time for your Payment Transaction when we receive your funds. If it falls on a non-business day at your Recipient’s country, the transaction will only be completed the next working day.

7.3.4To fulfil our regulatory obligations, we may conduct verification checks on your transactions. Verification checks may increase the processing time of your Payment Transaction. We are not responsible and cannot be held liable for any delays as a result of conducting such checks.

7.3.5We reserve the right to reject any instruction from you without providing to you any explanation. If we have received your funds for a Payment Transaction rejected by us, we will refund you the full amount received by us to your Source Account used to fund the Payment Transaction.

7.4Exchange Rate

7.4.1The applicable exchange rate will be made known to you clearly before you confirm a Payment Transaction. We provide two types of exchange rates: guaranteed and non-guaranteed.

7.4.2We offer 24-hour guaranteed rates for selected currency pairs. This will be made clear to you during the process of ordering a Payment Transaction if it involves currency exchange. The 24-hour countdown starts from the moment you start the process of ordering a Payment Transaction.

7.4.3We offer non-guaranteed rates for other currency pairs not under Clause 7.3.2.The exchange rate applicable shall be dependent on the date and time where we receive your funds for the Payment Transaction. If we do not clearly indicate that the rate is guaranteed, you should assume that it is non-guaranteed.

7.4.4From time to time, we may change a currency pair from guaranteed to non-guaranteed and vice versa without prior notice to you. You should exercise caution and take note of the exchange rate before ordering a Payment Transaction.

7.5Our Fees And Charges

7.5.1We charge a minimal spread and fixed transaction fee (collectively referred to as “fees and charges”) for each Payment Transaction of which are fully visible to you before you accept and confirm every Payment Transaction.

7.5.2These fees and charges differ from each currency pair and are subject to change without prior notice to you.

7.5.3As mentioned before in Clause 6.5.4, fees and charges charged by us does not include any charges charged by your or your Recipient’s bank or payment service provider for processing your Payment Transaction. Depending on the situation, such fees and charges may be deducted from your funds or from the sent amount to your Recipient.

7.5.4When you provide invalid payee details, the receiving financial institution may refuse to process your Payment Transaction. For such cases, we may charge a fee which will be deducted from the sent amount before returning your money to you.

7.5.5We may charge a fee for any amendment or cancellation of an ordered Payment Transaction due to the same reasons. We may also charge a fee for any retrieval requests, regardless if the retrieval is successful.

7.5.6Fees mentioned in Clause 7.4.4 and 7.4.5 are collectively referred to as “administration fees”.

7.6Important Notifications To You

7.6.1We will send you emails to inform you of:

  • Changes in the status of a Payment Transaction.
  • Updates relating to special requests such as amendments, cancellations, or retrievals.
  • Changes to this Agreement.
  • Changes to Services offered by us.
  • Changes to the way we offer our Services to you.
  • Information which may impact the way you use our Services; or
  • Any other information as required by legislation.

7.6.2We aim to provide you with a reasonable notice period for any material changes so that you can make any necessary arrangements.

7.6.3If we do not receive any notice indicating that you did not receive our email, it will be deemed received on the exact same day it was sent to your email address.

7.6.4We will not be liable to you or any other parties for losses or damages arising from events listed in Clause 7.6.1.

7.7Dispute Resolution

7.7.1We will handle your disputes in a fair and independent manner in the most reasonable way possible. In all cases, after considering your inputs, our decision is final and not subject to further disputes.

8.Promotion code and promotion campaigns

8.1Any promotion codes provided by us cannot be used together with other promotions unless otherwise stated.

8.2You must have a successfully registered account with us to use a promotion code.

8.3Any form of promotion is not exchangeable for cash or other benefits.

8.4We reserve the right to change or terminate any promotion at any time without giving you prior notice or any form of compensation.

8.5We reserve the right to disqualify you from the promotion if we deem that you have engaged in conduct that we consider inappropriate or unacceptable.

9.Changes to this Agreement

9.1We reserve the right to change all or part of this Agreement without prior notice or explanation to you. We aim to provide you with 30 calendar days’ notice period before we effect the changes. We will always notify you via your registered email address with us when we make any changes to this Agreement.

9.2If you object to any changes to this Agreement, you must submit a termination request to us at support@transwap.com within 5 business days from the notice of the changes. If you do not notify us within this period, or if you continue to use our Services after the notice of the changes, it shall be assumed that you have accepted the changes.

10.When can we suspend your Account?

10.1We reserve the right to suspend any part or all of your access to our Services if:

  • We cannot verify your identity
  • You have reached the daily balance limit or annual transaction limit specified in Clause 5.
  • You failed to provide information requested by us to facilitate your Payment Transactions.
  • Your Account has been inactive for more than 12 months.
  • We receive instructions to do so by the relevant authorities or your card issuer.
  • We believe the information you have provided is incorrect, unauthorised or fraudulent;
  • We believe that access to your Account has been compromised; or
  • We are required to conduct an investigation into your Accounts.

10.2Depending on the situation and our legal obligations, we may or may not disclose the reason for your suspension.

10.3When your Account is suspended, you will not be able to order any Payment Transactions. Your e-money in your Account still belongs to you, but you will not be able to use them until the suspension if uplifted.

10.4We make no promises to the timeline of uplifting any suspension and we are not liable for any losses, either suffered by you or any third party, for any suspension.

11.When can we terminate this Agreement?

11.1We may immediately suspend or terminate your registration and this Agreement at any time without prior notice or explanation to you if:

  • We discover that you are not eligible to use our Services or that you are using our Services for an impermissible purpose.
  • We discover that your Account is not operated in a proper or regular manner.
  • We discover that you have engaged in behaviour that we view as suspicious.
  • We discover that you have duplicate Accounts opened for the same person.
  • You have breached any of the terms of this Agreement.
  • We are required to do so to fulfil our regulatory obligations, either in the United Kingdom or elsewhere in the world.
  • It is unlawful for us to continue to provide our Services to you.
  • You have given us untrue, inaccurate, incomplete, or misleading information.
  • You become insolvent or bankrupt or subject to judicial proceedings.
  • You become subject to investigation for offences relating to money laundering, tax evasion, or terrorism financing, and their predicate offences.
  • You are constantly uncontactable via the phone number or email address you have provided; or
  • You or your bank initiated a chargeback or rejection of an attempted transfer.

11.2We may suspend or refuse to execute a Payment Transaction if any of the reasons stated above in Clause 11.1 applies to the Recipient of the Payment Transaction.

11.3You may terminate this Agreement by contacting us at support@transwap.com.

11.4In all cases, we reserve the right to determine the final termination date.

11.5If you have any balances in your Account after termination, we will initiate a withdrawal Payment Transaction for all your e-money, less any amount owed to us, converted to Singapore Dollars at the prevailing rate, and charge the prevailing transaction fee as though the Payment Transaction was ordered by you. The withdrawal will be made payable to your Designated Account.

11.6Any termination shall not affect prior transactions or obligations under this Agreement existing at the time of the termination. Upon termination, we will retain records of your transactions with us in accordance with regulatory requirements and our retention policies.

12.Our intellectual property rights

12.1Our Services are protected by copyright, trade secret and other intellectual property laws. We and/or our licensors own the title, copyright and other worldwide intellectual property rights in all services relating to TranSwap. Using TranSwap and our Services does not grant you any rights to our trademarks or service marks.

12.2For the purpose of these Terms and Conditions, intellectual property rights shall mean all patent rights, copyright rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications and registrations, renewals and extensions thereof, under the laws of Singapore and any country, territory or other jurisdiction.

12.3You agree not to alter, copy, distribute, extract, make available, modify, obscure, reproduce, tamper with, or otherwise use any of the content on our Website without our prior written permission. Any use made of such content may be an infringement of rights in that content and we reserve all rights to enforce such rights.

13.Information security

13.1We do not guarantee that our Website or App will be secure or free from bugs or viruses.

13.2You are responsible for configuring your devices and network in a way which allows you safe and secured access to our Website or App.

13.3You must not misuse our Services by introducing viruses, trojans, worms, logic bombs, or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Website, the server on which our Website is stored, or any server, computer, or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you may be guilty of a criminal offence under the Computer Misuse and Cybersecurity Act (Cap. 50A). We will report any such breach to the relevant government authorities, public agencies, and/or law enforcement agencies and co-operate with such authorities/agencies by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately.

14.Disclaimer for usage of our Services

14.1In providing the Services to you, neither we nor any of our affiliates, holding companies, subsidiaries, employees, officers, directors, agents, service providers or subcontractors, makes any express warranties or representation to you with respect to the Services except as set out in this Agreement, and all implied and statutory warranties and representations, including without limitation any warranty of fitness for a particular purpose, merchantability or non-infringement are hereby expressly disclaimed to the maximum extent permitted by applicable law.

14.2In no event shall we or any of our affiliates, holding companies, subsidiaries, employees, officers, directors, agents, service providers or subcontractors be liable to you or any third party for any indirect, special, consequential, punitive, exemplary or incidental damages, whether based on negligence, wilful misconduct, tort, contract or any other theory of law, or for any damages for loss of data, loss of income, failure to realize expected revenues or savings, loss of profits or any economic or pecuniary loss.

14.3We will not be liable for any goods or services brought or sold by you that are settled through your participation in the Services.
We will have no liability to you for any events which are beyond our control and which are unusual or unforsseable or for any matter where we are bound by any statutory obligation or order.
Unless we are under a statutory duty to do so we do not assume any liability for any issues regarding your ability or inability to communicate with our systems and processes, any loss of data or delay in transmission caused by third party service providers including any internet service provider; computer viruses, spyware or malware originating from third parties, errors in the information we hold as a result of incomplete or incorrect information you provide or the unauthorised use or interception of information while accessing the services.

14.4We may from time to time provide you with information on historical and current market trends, transaction processing methodologies and patterns, updates on currency pairs, or any other information we believe may be of use to you. This can be in the form of verbal communications, articles on our Website, or email communications sent by us. Such information and publications are not intended to be and do not constitute any professional advice or any other advice or recommendation of any sort. We also do not guarantee that such information and publications are accurate, up to date, or applicable to the circumstances of any particular case. You must do your own due diligence and exercise caution when using our Services. We will not be liable to you if you choose to act based on information provided by us.
We do not exclude liability for any matter where it would be unlawful to do so including liability for death or personal injury caused by our negligence, for fraud or for breach of your legal rights where it would be unlawful to exclude such rights.

15.Other important terms

15.1Right Of Set-Off

15.1.1You agree that we are authorised at any time to set-off the funds deposited with us against your debts or liabilities owed to us. We may exercise this right of set-off without notice to you.

15.2Non-Waiver Of Rights

15.2.1Any failure or delay by us in exercising or enforcing any right we have under the terms of these Terms and Conditions does not operate as a waiver of and does not prejudice or affect our right subsequently to act strictly in accordance with our rights.

15.2.2 Moreover, no waiver by TranSwap or any of its rights or powers under this Agreement shall be deemed to have been made unless expressed in writing and signed by its duly authorized representative.

15.3Entire Agreement

15.3.1This Agreement and any documents expressly referred to in it constitute the whole agreement between us, and supersedes any pervious discussions, correspondence, arrangements, or understandings between us.

15.3.2This Agreement may be provided to you in English or any other language that we support. For the avoidance of doubt, any non-English version of this Agreement is provided for translation purposes only. If any inconsistency arises between the English and non-English versions of the Agreement, the English version of the Agreement shall prevail.

15.4Severability

15.4.1If any provision of this Agreement is rendered void, invalid, or unenforceable in any respect under any law, the validity, legality, and enforceability of the remaining terms and conditions shall not be affected or impaired thereby.

15.5Assignment

15.5.1You may not transfer or assign this Agreement to any other person without our prior consent.

15.5.2We may assign our obligations to you under this Agreement without your consent and without any prior notice.

15.6Notices To Us

15.7Our Service Providers

15.7.1We may use agents and third-party service providers to help us deliver our Services to you. In any event, all services provided by us, or our agents and service providers are engaged at our discretion and subject to our supervision and control.

16.Governing Law and Jurisdiction

16.1The Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including noncontractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales.

16.2The Parties irrevocably agree that the Courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with the Agreement or its subject matter or formation (including non-contractual disputes or claims).

1.Mengenai Perjanjian Pengguna

1.1Ketika Anda mendaftar dan menggunakan salah satu produk dan layanan kami ("Layanan" kami), itu menciptakan kontrak yang mengikat secara hukum antara Anda ("Anda, "milik Anda" atau "Pengguna") dan PT Transwap Dunamis Indonesia ("Transwap", "kami", "kami", atau "milik kami") yang menguraikan hak dan kewajiban Anda. Semua produk dan layanan kami tunduk pada Perjanjian Pengguna ini (juga disebut "Perjanjian").

1.2Harap membaca Perjanjian ini dengan cermat. Dengan menggunakan Layanan, anda mengonfirmasi bahwa anda telah membaca, mengerti, dan menyetujui ketentuan Perjanjian ini dalam bentuk terbaru seperti yang diposting di situs web kami.  Jika anda tidak menyetujui bagian mana saja dalam Perjanjian ini, anda tidak dapat didaftarkan untuk menggunakan Layanan kami. Jika anda membutuhkan klarifikasi atau informasi lebih lanjut, silakan lihat situs web kami www.transwap.com ("Situs Web") atau hubungi kami secara langsung. Anda dapat mengunduh versi PDF dari Perjanjian ini dengan mengklik tautan di bagian atas halaman ini. Anda dapat meminta salinan Perjanjian dari kami kapan saja.  Anda dapat menutup akun anda kapan saja dengan menghubungi kami. Penutupan akun akan mengakibatkan pengakhiran Perjanjian ini dan anda tidak akan lagi diizinkan untuk menggunakan produk dan layanan kami.

1.3Dokumen tambahan yang berlaku untuk penggunaan Layanan kami dirujuk dalam Perjanjian ini:

  • Ketentuan di mana kami menangani informasi pribadi apa pun yang anda berikan kepada kami atau yang kami kumpulkan tentang anda diuraikan dalam Kebijakan Privasi kami. Anda menyetujui pemrosesan ini saat anda menggunakan layanan kami, dan anda menjamin bahwa data yang Anda kirimkan akurat.
  • Informasi mengenai "cookie" di situs web kami disediakan dalam Kebijakan Cookie kami

1.4Versi terbaru dari Perjanjian ini dapat ditemukan di https://www.transwap.com/terms-of-service-id.

2.Siapa Kami dan Bagaimana Cara Menghubungi Kami

2.1Kami didirikan berdasarkan hukum Negara Republik Indonesia dengan nomor registrasi perusahaan 9120605703405.

2.2Kantor terdaftar kami adalah Jalan Merdeka No. 1 Cimone, Karawaci, Banten 15114.

2.3PT Transwap Dunamis Indonesia berwenang (nomor referensi 21/248/Sr/3) di Indonesia sebagai Penyelenggara Transfer Dana dan diatur oleh Bank Indonesia berdasarkan Peraturan Bank Indonesia No. 23/6/PBI/2021 tentang Penyedia Jasa Pembayaran.

2.4Anda dapat menghubungi kami melalui email dengan pusat bantuan kami di https://www.transwap.com/help-centre, atau dengan masuk ke akun Anda.

3.Definisi - Definisi

3.1Dalam Perjanjian ini, kecuali dinyatakan lain dalam konteks yang berbeda:

  • Akun berarti akun yang telah Anda buka dengan kami untuk melakukan transaksi transfer dana dan untuk tujuan menggunakan Layanan kami.
  • Perjanjian merujuk pada dokumen ini yang berkaitan dengan produk dan layanan yang disediakan oleh Transwap.
  • App atau Aplikasi berarti perangkat lunak aplikasi seluler kami yang dapat Anda gunakan untuk mengakses Layanan kami, termasuk data dan media terkait dengan perangkat lunak.
  • Orang yang Berwenang berarti orang perseorangan yang telah diberi wewenang oleh seorang direktur perusahaan untuk mengakses dan menggunakan Layanan atas nama perusahaan atau organisasi.
  • Hari Kerja berarti hari (kecuali hari Sabtu, Minggu, dan hari libur nasional) di mana lembaga keuangan buka untuk bisnis di Negara Republik Indonesia.
  • Perusahaan atau Bisnis berarti entitas yang bukan orang perseorangan.
  • Pengguna berarti orang perseorangan atau perusahaan yang telah mendaftar akun dan telah diterima oleh kami.
  • Rekening yang Ditunjuk berarti rekening bank yang Anda berikan untuk memfasilitasi permintaan penarikan di masa mendatang.
  • FATF berarti Financial Action Task Force.
  • BI berarti Bank Indonesia.
  • PBI berarti Peraturan Bank Indonesia.
  • Biaya berarti biaya, tarif, atau biaya yang dikenakan oleh kami terkait dengan produk dan Layanan yang kami tawarkan.
  • Instruksi Transaksi berarti instruksi oleh pengirim untuk mengirim uang ke penerima.
  • Mata Uang Penerima berarti mata uang yang akan diterima oleh penerima anda dalam Instruksi Transaksi.
  • Penerima berarti entitas yang menerima uang dari Instruksi Transaksi.
  • Layanan berarti melakukan transaksi sesuai dengan pesanan pembelian dan penggunaan teknologi, fitur, konten, aplikasi, dan layanan apa pun yang kami sediakan, serta situs web, aplikasi, dan layanan terkait.
  • Pengirim berarti entitas yang membuat Instruksi Transaksi.
  • Mata Uang Pengiriman berarti mata uang yang akan Anda gunakan untuk membiayai Instruksi Transaksi.
  • Sumber Rekening berarti rekening tempat uang ditransfer untuk membiayai Instruksi Transaksi.
  • Antarmuka Pengguna berarti perangkat lunak yang disediakan Transwap kepada Pengguna dan yang digunakan Pengguna, seperti situs web, untuk berkomunikasi dengan Transwap.
  • Situs Web berarti www.transwap.com

4.Siapa yang Menggunakan Layanan Kami?

4.1Untuk menggunakan Layanan kami, anda dan/atau bisnis anda harus didirikan atau terdaftar di yurisdiksi atau wilayah yang kami dukung.

4.2Anda bertanggung jawab untuk memastikan bahwa pendaftaran anda dengan kami, kesepakatan anda dalam Perjanjian ini, penggunaan anda dari Layanan, dan pelaksanaan kewajiban apa pun di bawah Perjanjian ini tidak melanggar hukum atau peraturan yang berlaku.

4.3Jika anda mewakili Perusahaan, anda mengonfirmasi bahwa anda memiliki wewenang untuk bertindak atas nama Perusahaan untuk menggunakan Layanan kami dan bahwa Perusahaan menerima semua syarat dan ketentuan yang ditetapkan dalam Perjanjian ini.

4.4Anda harus secara hukum memenuhi syarat untuk mendaftar dengan tujuan menggunakan Layanan kami. Dengan melakukannya, anda menyatakan dan menjamin bahwa andamemiliki hak, wewenang, dan dan kemampuan penuh untuk memasuki Perjanjian ini, mematuhi, dan memenuhi semua kewajiban anda berdasarkan Perjanjian ini.

4.5Anda harus memastikan bahwa anda tidak akan melanggar hukum atau peraturan apa pun saat mendaftar ke kami, masuk ke dalam atau dengan melakukan bagian mana pun dari Perjanjian ini, atau saat menggunakan Layanan kami.

4.6Anda dapat memberikan izin kepada pihak ketiga (disebut sebagai "Orang yang Berwenang") untuk mengakses, menggunakan, mengelola akun anda atau Layanan kami atas nama bisnis anda. Dengan melakukan tersebut, anda menyetujui dan mengetahui bahwa:

Setiap tindakan yang diambil oleh Orang yang Berwenang yang berkaitan dengan akun anda—termasuk mengakses saldo, memulai setoran atau penarikan, atau memberikan instruksi—akan kami anggap seolah-olah dilakukan oleh anda dan akan mengikat secara hukum pada anda, bahkan jika tindakan tersebut melebihi wewenang yang anda berikan kepada Orang yang Berwenang.

Kami akan memperlakukan Orang yang Berwenang sesuai dengan Perjanjian ini dan mungkin akan membagikan informasi yang relevan mengenai profil dan akun anda kepada mereka.

Merupakan tanggung jawab anda sepenuhnya untuk memastikan bahwa daftar Orang yang Berwenang anda akurat dan terbaru. Meskipun Orang yang Berwenang dan Penandatangan dapat diverifikasi pada saat pembukaan akun, kami tidak berkewajiban untuk memverifikasi wewenang mereka secara berkelanjutan.

Kami tidak bertanggung jawab atas bagaimana Orang yang Berwenang menggunakan informasi yang diungkapkan kepada mereka atau atas tindakan atau kelalaian yang mereka lakukan.

Penambahan Orang yang Berwenang tidak membebaskan anda dari kewajiban anda di bawah Perjanjian ini, termasuk tetapi tidak terbatas pada kewajiban untuk segera memberitahu kami tentang aktivitas mencurigakan, transaksi yang tidak sah, atau kompromi akun anda.

4.7Mengenai penggunaan akun anda dan Layanan, Transwap tidak bertanggung jawab atas klaim atau ketidaksepakatan apa pun yang mungkin terjadi antara anda dan Orang yang Berwenang dari anda.  

Anda setuju untuk terus memperbarui daftar Orang yang Berwenang dan tanggung jawab mereka dan untuk menginfokan Transwap dengan setiap modifikasi yang anda buat.

5.Layanan Pengguna dan Keluhan

5.1Jika anda percaya bahwa kami telah membuat kesalahan atau jika Layanan kami belum memenuhi ekspektasi anda, anda dianjurkan untuk menghubungi kami.  

Untuk mengajukan keluhan, silahkan hubungi tim customer service atau dengan beremail kepada kami di support@transwap.com.

Setelah menerima keluhan dari anda, kami akan menyelidiki masalah tersebut dengan cepat dan, jika diperlukan, mengambil tindakan korektif. Kami berkomitmen untuk menyelesaikan masalah secara adil dan efisien serta akan mengambil langkah-langkah yang diperlukan untuk mencegah terulangnya kejadian. Setiap keluhan akan ditanggapi dengan serius, dan anda akan diberitahu hasil penyelidikan kami.

6.Akun Anda dengan Transwap

6.1Dengan mengikuti langkah-langkah yang diberikan selama prosedur pendaftaran, kun Transwap anda ("Akun") dapat dibuat melalui antarmuka pengguna seperti situs web kami.

6.2Setelah Akun anda berhasil dibuat, kami akan memberikan akses kepada anda untuk alat dan antarmuka yang diperlukan untuk membuat Instruksi Transaksi, berkomunikasi dengan kami, dan memanfaatkan Layanan lain yang diizinkan oleh yurisdiksi berlisensi kami.

6.3Dengan membuat Akun dan menggunakannya, anda akan dianggap telah menerima dan terikat oleh Perjanjian ini.

6.4Anda setuju untuk menyediakan kami informasi apa pun yang mungkin kami minta dari waktu ke waktu untuk membuat,  memelihara, dan mengoperasikan Akun anda. Anda sepenuhnya bertanggung jawab untuk memastikan bahwa semua informasi yang anda berikan kepada kami-termasuk, tetapi tidak terbatas, alamat dan rincian kontak anda-adalah akurat, lengkap, dan terkini setiap saat.

6.5Anda dapat mengonversi dana di Akun anda dari satu mata uang ke mata uang lain yang kami dukung, tergantung pada kesediaan. Konversi mata uang mungkin dapat digunakan sebagai bagian dari Layanan kami, termasuk saat mentransfer uang dari Akun anda. Biaya konversi mungkin berlaku untuk setiap konversi. Anda akan diinformasikan tentang biaya yang berlaku sebelum memulai konversi, dan konfirmasi anda atas transaksi tersebut akan dianggap sebagai penerimaan biaya tersebut.

6.6Anda diharuskan untuk mengungkapkan tujuan dari Akun anda saat pendaftaran KYC mau pun digunakan untuk mengirim, menerima, mengonversi, atau mentransfer dana ke anda sendiri dan/atau atas nama pihak ketiga.

6.7Dana di Akun anda dapat ditahan sementara dari anda jika:

  • Sebagian atau seluruh dana di Akun anda sedang diselidiki baik oleh kami atau oleh otoritas terkait;
  • Sebagian atau seluruh dana di Akun anda sedang menunggu pembalikan transaksi; atau
  • Kami dilarang oleh hukum untuk mengizinkan penarikan dana anda.

7.Akun Tidak Aktif atau Pasif

7.1Jika tidak ada aktivitas yang terjadi dalam 12 bulan, Akun akan dianggap tidak aktif. Anda dapat terus menggunakan Akun anda, akan tetapi kami dapat meminta dokumen terbaru jika dan saat perlukan.

8.Tanggung Jawab Anda sebagai Pengguna

8.1Anda memainkan peran penting dalam membantu kami menjaga lingkungan yang aman untuk penggunaan Layanan kami. Harap baca bagian ini dengan seksama karena menjelaskan langkah-langkah yang akan membantu melindungi anda dan informasi anda saat menggunakan Layanan kami.

8.2Mendaftarkan Akun Anda

  1. Anda harus mendaftar Akun dengan kami di app.transwap.live/register sebelum anda dapat menggunakan Layanan kami.
  2. Anda mungkin dibatasi untuk mengakses atau menggunakan Akun anda atau fitur tertentu dari Layanan kami sampai anda menyelesaikan proses identifikasi dan validasi keamanan kami serta memberikan semua informasi yang diperlukan sesuai dengan kebijakan internal kami dan peraturan yang berlaku.
  3. Anda harus menyediakan rincian berikut dengan memasukkannya ke dalam kolom yang sesuai di formulir aplikasi kami:
    1. Dokumen perusahaan (akta pendirian dan Kementerian Hukum dan Hak Asasi Manusia ("Kemenkumham"), anggaran dasar terbaru dan Kemenkumham, Nomor Induk Berusaha (NIB)), izin usaha /sertifikasi (jika ada), Nomor Pokok Wajib Pajak (NPWP)).
    2. Informasi manajemen jika badan hukum (akta terbaru tentang komposisi struktur manajemen, salinan KTP direksi dan komisaris, salinan Nomor Pokok Wajib Pajak (NPWP) direksi dan komisaris, jika direksi dan komisaris bukan warga negara Indonesia, mohon berikan paspor dan izin tinggal (KITAS)).
    3. Untuk perorangan (nama lengkap, nomor KTP, alamat terdaftar, nomor telepon, tanda tangan, alamat email).
    4. Informasi Pemegang Saham dan Penerima Manfaat.
    5. Pengguna Resmi (nama lengkap, kewarganegaraan, nomor KTP, alamat, nomor telepon, alamat email).
    6. Nomor kontak seluler Anda – yang akan digunakan untuk mengautentikasi dan memverifikasi orang yang menggunakan akun. Dikenal sebagai verifikasi dua faktor - kata sandi satu kali (2FA – OTP).
  4. Kami berhak untuk meminta informasi tambahan, dokumen, atau data yang berkaitan dengan anda, transaksi anda, pengirim, dan/atau penerima dari hasil transaksi apa pun. Kami juga berhak, atas kebijaksanaan kami sendiri, untuk menentukan apakah informasi dan/atau dokumen yang telah anda berikan cukup untuk memungkinkan anda mengakses atau terus menggunakan bagian mana pun dari Layanan kami.
  5. Anda diwajibkan untuk menyelesaikan proses verifikasi identitas kami untuk mengonfirmasi identitas anda. Proses ini mungkin melibatkan penggunaan sistem verifikasi pihak ketiga, yang akan kami sediakan tanpa biaya.
  6. Anda harus memastikan bahwa semua informasi yang anda berikan selama pendaftaran dan penggunaan Layanan kami adalah akurat, lengkap, dan selalu diperbarui dengan segera memberi tahu kami tentang perubahan apa pun pada informasi anda untuk menjaga keakuratannya.
  7. Anda tidak boleh menyamar sebagai orang lain, menggunakan nama samaran, atau menyembunyikan identitas anda. Kami akan menggunakan informasi yang anda berikan, bersama dengan data yang diperoleh dari penggunaan situs web dan Layanan kami, untuk memfasilitasi partisipasi anda dalam Layanan dan untuk tujuan lain sesuai dengan Kebijakan Privasi kami.
  8. Dari waktu ke waktu, anda mungkin diminta untuk memberikan informasi tambahan untuk memungkinkan kami terus menyediakan Layanan kami kepada Anda.
  9. Anda dapat mendaftar untuk sebuah Akun menggunakan satu alamat email utama yang unik. Jika kami mendeteksi beberapa pendaftaran aktif untuk satu alamat email yang digunakan sebagai pendaftaran utama, kami berhak, atas kebijakan kami sendiri, untuk menggabungkan atau menghentikan pendaftaran tersebut dan untuk menangguhkan atau menolak akses lebih lanjut ke Layanan kami tanpa pemberitahuan sebelumnya.
  10. Anda setuju dengan klausul yang tercantum pada semua formulir pembukaan akun dan formulir pembaruan akun (baik untuk individu maupun perusahaan jika berlaku).

8.3Menjaga Keamanan Akun Anda

  • Semua instruksi yang diterima dari alamat email terdaftar atau nomor kontak seluler anda harus dianggap valid dan mengikat anda. Oleh karena itu,  merupakan tanggung jawab anda untuk memastikan keamanan kredensial akun dan saluran komunikasi anda setiap saat.
  • Anda tidak boleh mengungkapkan kredensial login atau nomor referensi pengguna kepada pihak ketiga. Kami tidak akan pernah meminta kata sandi atau nomor referensi pengguna anda,  karena hal tersebut bukan bagian dari proses verifikasi pengguna kami. Anda menerima semua tanggung jawab penuh atas setiap pengungkapan kredensial yang disengaja atau tidak disengaja dan mengasumsikan semua risiko terkait, termasuk kemungkinan akses atau penggunaan yang tidak sah oleh pihak ketiga.
  • Sebuah kata sandi yang kuat untuk mengamankan Akun anda sangat dianjurkan. Jika anda lupa kata sandi anda, anda dapat mengatur ulang dengan meminta tautan untuk dikirimkan ke alamat email terdaftar anda dengan kami di https://identity.transwap.live/Account/ForgotPassword?returnUrl=https%3A%2F%2Fapp.transwap.live.
  • Anda harus memastikan bahwa alamat email dan nomor kontak seluler yang diberikan selama pendaftaran adalah akurat, milik anda, dan aman serta hanya dapat diakses oleh anda. Alamat email yang terdaftar dapat digunakan untuk mengatur ulang kata sandi login anda dan untuk mengkomunikasikan informasi penting mengenai keamanan Akun anda.
  • Anda harus segera memberi tahu kami jika nomor kontak seluler atau alamat email anda berubah, atau jika anda curiga bahwa salah satu dari keduanya telah disusupi. Pemberitahuan yang cepat sangat penting untuk membantu kami melindungi keamanan Akun anda dan mencegah akses yang tidak sah.
  • Anda harus segera memberi tahu kami jika anda mengetahui adanya akses yang tidak sah ke Akun anda, transaksi atau instruksi yang tidak sah atau jika anda mencurigai bahwa Akun atau kredensial keamanan anda telah disusupi. Dalam kasus tersebut, anda harus segera mengubah kata sandi anda dengan yang belum pernah anda gunakan sebelumnya. Anda setuju untuk segera bekerja sama dengan kami dan/atau pihak berwenang dalam penyelidikan atau tindakan yang wajar yang diambil untuk memulihkan dana yang hilang atau mengatasi pelanggaran keamanan yang sebenarnya terjadi atau yang dicurigai.
  • Saat mengakses Akun anda, anda harus memastikan bahwa perangkat anda terlindungi aman dan diperbarui dengan pembaruan keamanan terbaru. Anda bertanggung jawab untuk memastikan bahwa sesi login anda aman dan terlindungi serta menjaga nama pengguna dan kata sandi anda tetap aman setiap saat.

8.4Mengelola Akun Anda

  • Anda harus setuju untuk tidak menggunakan Akun untuk alasan yang tidak sah atau melanggar hukum dan bahwa Akun tersebut adalah untuk penggunaan anda yang tunggal dan eksklusif. Anda setuju bahwa adalah tanggung jawab anda untuk mencari nasihat dari ahli independen mengenai hal-hal yang berkaitan dengan penggunaan Akun anda, termasuk masalah hukum dan pajak. Anda setuju bahwa adalah tanggung jawab anda untuk memastikan bahwa penggunaan Akun anda mematuhi semua hukum, aturan dan peraturan yang berlaku, baik nasional atau spesifik untuk Negara Republik Indonesia.
  • Anda bertanggung jawab untuk memastikan bahwa Akun Anda dalam keadaan baik. Anda harus memeriksa Akun anda secara teratur dan segera memberi tahu kami jika anda menemukan penyimpangan.
  • Anda akan menerima email setelah penyelesaian setiap Instruksi Transaksi. Transaksi anda juga dapat dilihat setelah masuk ke Akun Transwap anda. Anda harus melaporkan sengketa terkait transaksi dalam waktu 24 jam sejak transaksi tersebut terjadi. Kegagalan untuk memberi tahu kami dalam periode tersebut akan dianggap sebagai penerimaan anda bahwa semua transaksi dan entri dalam riwayat transaksi anda dianggap akurat, benar, dan final.

8.5Memesan Instruksi Transaksi

  1. Untuk setiap Instruksi Transaksi yang anda inisiasi, anda harus memberikan informasi berikut dengan akurat dan lengkap:
    1. Mata Uang Pengirim dan jumlahnya yang akan dikirim;
    2. Mata Uang Penerima dan jumlahnya yang akan diterima;
    3. Nama lengkap Penerima;
    4. Rincian bank Penerima (termasuk nomor rekenin, nama bank, cabang atau identifikasi lainnya yang berlaku);
    5. Informasi lain yang mungkin berlaku dan diwajibkan berdasarkan hukum, peraturan, atau ketentuan internal Transwap.
  2. Anda bertanggung jawab penuh untuk memastikan keakuratan, kelengkapan, dan keabsahan semua informasi yang disampaikan kepada kami sehubungan dengan Instruksi Transaksi apa pun. Kami akan memproses transaksi secara ketat berdasarkan detail yang anda berikan, dan kami tidak berkewajiban untuk memverifikasi atau memperbaiki informasi tersebut. Anda mengakui bahwa setiap kesalahan atau kelalaian dapat mengakibatkan penundaan, penolakan, atau salah pengiriman dana. Dalam hal ini, anda mungkin bertanggung jawab atas biaya terkait. Kami berhak untuk mengenakan biaya untuk setiap perubahan, penolakan, pembatalan, atau pengambilan transaksi yang telah diproses, terlepas dari apakah pengambilan tersebut akhirnya berhasil atau tidak berhasil.
  3. Nilai tukar dan biaya transaksi akan ditampilkan di layar pemesanan sebelum anda melanjutkan dan mengonfirmasi pemesanan transaksi. Setelah anda mengonfirmasi bahwa anda setuju dengan nilai tukar dan biaya transaksi yang ditampilkan, Instruksi Transaksi tidak dapat diubah. Jika anda perlu mengubah detail apa pun, anda harus membatalkan dan membuat Instruksi Transaksi baru. Harap dicatat bahwa anda mungkin atau mungkin tidak mendapatkan nilai tukar yang sama saat anda memulai Instruksi Transaksi baru.
  4. Biaya transaksi yang ditampilkan tidak termasuk biaya yang mungkin dibebankan oleh bank anda atau bank penerima anda untuk Instruksi Transaksi Anda. Tergantung pada situasinya, biaya tersebut dapat dipotong dari dana anda atau dari jumlah yang dikirim ke Penerima anda.
  5. Anda dapat mendanai Instruksi Transaksi anda melalui transfer bank dari rekening bank anda. Sumber Rekening harus atas nama anda. Kami tidak menerima segala bentuk pendanaan dari pihak ketiga. Kami juga tidak menerima metode lain seperti uang tunai atau cek.
  6. Kami harus menerima dana yang cukup untuk transaksi anda sebelum Instruksi Transaksi anda dianggap valid. Kami tidak bertanggung jawab atas waktu yang diperlukan oleh bank anda atau penyedia layanan lain untuk memproses instruksi pendanaan.
  7. Anda dapat membatalkan Instruksi Transaksi anda sebelum kami menerima dana anda. Anda harus menghubungi kami di support@transwap.com untuk bantuan apa pun.
  8. Kami dapat membatalkan Instruksi Transaksi anda jika kami tidak menerima dana anda dalam waktu 24 jam.

8.6Menerima Uang di Rekening Bank Anda

  • Anda dapat menerima dana ke rekening bank yang ditunjuk dari kami. Anda bertanggung jawab sepenuhnya untuk memastikan akurasi dan kelengkapan rincian rekening bank yang anda berikan kepada pengirim. Kami tidak bertanggung jawab atas keterlambatan, pembayaran yang salah, atau kerugian yang timbul dari informasi yang salah atau tidak lengkap yang anda berikan.
  • Anda akan dapat melihat jumlah yang diterima dalam riwayat transaksi anda. Merupakan tanggung jawab anda untuk secara teratur meninjau riwayat transaksi anda untuk setiap ketidaksesuaian atau kejanggalan. Anda harus memberi tahu kami segera setelah mengidentifikasi masalah tersebut.

8.7Penarikan Uang dari Akun Anda

  • Anda tidak akan dapat melakukan penarikan dari Akun anda secara tunai.
  • Penarikan dari Akun anda hanya untuk tujuan pengembalian dana. Anda akan dikenakan biaya untuk setiap permintaan penarikan.
  • Semua informasi rekening bank yang diminta diperlukan bagi kami untuk memproses pengembalian dana anda. Pengembalian dana hanya dapat dikirimkan ke Sumber Rekening.
  • Tanggung jawab atas Informasi Rekening Bank-Anda sepenuhnya bertanggung jawab untuk memastikan keakuratan informasi rekening bank yang anda berikan. Kami tidak bertanggung jawab atas dana yang dikirim ke penerima yang salah karena kesalahan yang timbul dari informasi yang anda berikan. Dalam kasus seperti itu, Anda dapat meminta pembalikan transaksi, tetapi kami tidak dapat menjamin bahwa permintaan tersebut akan berhasil diselesaikan. Biaya penanganan dapat diterapkan untuk permintaan tersebut, terlepas dari apakah pembalikan berhasil diselesaikan.
  • Kami tidak bertanggung jawab atas keterlambatan yang disebabkan oleh bank penerima anda atau penyedia layanan pembayaran dalam mengkreditkan dana ke akun anda. Setelah kami memproses dan mengirimkan dana sesuai dengan instruksi anda, waktu penerimaan berada di luar kendali kami.

8.8Pembayaran Biaya dan Beban Biaya

  1. Anda bertanggung jawab penuh atas hal-hal berikut:
    1. Semua biaya dan pungutan yang dikenakan oleh kami, disetujui oleh anda saat pemesanan Instruksi Transaksi;
    2. Semua biaya dan pungutan yang dikenakan oleh bank anda sehubungan dengan pendanaan Instruksi Transaksi anda;
    3. Semua biaya dan pungutan yang dikenakan oleh bank penerima sehubungan dengan Instruksi Transaksi anda;
    4. Semua biaya dan pungutan terkait dengan perubahan, penolakan, pembatalan, atau pengambilan Instruksi Transaksi anda, terlepas dari hasilnya; dan
    5. Jika anda gagal membayar biaya dan pungutan yang berlaku, kami berhak untuk menangguhkan atau menolak untuk memberikan Layanan kepada anda.

8.9Komunikasi Antara Kita

  • Metode komunikasi utama kami adalah melalui email. Anda harus memastikan bahwa alamat email yang terdaftar dengan kami tetap valid dan dapat diakses setiap saat. Komunikasi dari kami mungkin mencakup informasi penting dan dapat berisi tautan yang mengarah ke konten tambahan di situs web kami. Anda bertanggung jawab untuk memeriksa email anda secara teratur dan tetap terinformasi tentang setiap komunikasi yang kami kirim.

8.10Mematuhi Hukum yang Relevan

  • Anda tidak boleh menggunakan Akun anda atau Layanan apa pun yang kami sediakan untuk melakukan, memfasilitasi, atau berpartisipasi dalam bentuk aktivitas ilegal apa pun. Ini termasuk, tetapi tidak terbatas pada, transaksi penipuan, pencucian uang, pembiayaan terorisme, pembiayaan proliferasi, atau kegiatan apa pun yang melanggar hukum, peraturan, atau pedoman regulasi yang berlaku. Kami berhak untuk melaporkan aktivitas mencurigakan kepada otoritas yang relevan dan mengambil tindakan yang sesuai, termasuk penangguhan atau penghentian Akun anda.
  • Anda harus mematuhi semua hukum, peraturan, dan persyaratan regulasi yang berlaku sehubungan dengan penggunaan Layanan kami. Ini termasuk, namun tidak terbatas pada kepatuhan penuh terhadap semua undang-undang dan pedoman Anti Pencucian Uang dan Pencegahan Pendanaan Terorisme yang berlaku. Anda bertanggung jawab untuk memastikan bahwa aktivitas anda tidak melanggar kewajiban hukum atau regulasi apa pun.
  • Sesuai dengan peraturan yang berlaku terkait Anti Pencucian Uang dan Pencegahan Pendanaan Terorisme, kami dilarang melakukan bisnis dengan individu, entitas, atau jurisdiksi tertentu. Kami telah menerapkan prosedur pemeriksaan keamanan dan langkah-langkah keamanan lainnya sesuai dengan persyaratan regulasi lokal. Jika terdapat kekhawatiran terkait identitas anda atau transaksi anda, kami mungkin akan meminta dokumen atau informasi tambahan. Hal ini dapat mengakibatkan penundaan, penangguhan, atau pembatalan transaksi anda atau akses Akun anda.
  • Anda tidak boleh membagikan akses ke Akun anda dengan pihak ketiga mana pun. Untuk pengguna perorangan, anda harus tetap menjadi pemilik manfaat dari Akun anda setiap saat. Setiap akses, penggunaan, atau pembagian akun yang tidak sah dapat mengakibatkan penangguhan atau penghentian akun secara langsung, dan kami tidak bertanggung jawab atas kerugian atau kerusakan yang timbul dari penggunaan yang tidak sah tersebut.

9.Tanggung Jawab Kami kepada Anda

9.1Melindungi Uang Anda

  • Transwap di izinkan oleh Bank Indonesia dan bekerja sama dengan mitra yang dapat terpercaya dan berizin. Kami mematuhi peraturan yang berlaku untuk memeastikan bahwa dana anda terlindungi dengan baik. Dalam keadaan tidak terduga, jika Transwap mengalami kebangkrutan atau menghentikan operasinya, dana anda yang terlindungi akan dikembalikan kepada anda sesuai dengan persyaratan hukum dan regulasi yang relevan.

9.2Penyediaan Layanan

  • Kami bertujuan untuk memberikan Pengguna akses 24/7 ke Situs Web kami. Namun, akses mungkin terhenti dari waktu ke waktu karena pemeliharaan terjadwal di mana kami akan berusaha sebaik mungkin untuk memberi tahu Anda setidaknya 24 jam sebelumnya. Dalam kasus tertentu, akses ke Akun anda mungkin ditangguhkan sementara untuk pemeliharaan darurat atau tidak terjadwal, baik itu rutin atau tidak biasa berdasarkan penilaian kami terhadap situasi. Jika memungkinkan, kami akan memberikan pemberitahuan sebelumnya mengenai penangguhan tersebut melalui email, notifikasi dalam aplikasi atau keduanya.
  • Kami berhak, sewaktu-waktu dan tanpa pemberitahuan sebelumnya, untuk menghentikan atau membatasi akses ke Layanan bagi penduduk yurisdiksi berisiko tinggi dan tidak kooperatif sebagaimana direkomendasikan oleh hukum Negara Republik Indonesia dan FATF.
  • Terlepas dari hal di atas, kami tidak menjamin bahwa Situs Web atau Layanan kami akan selalu tersedia, tanpa gangguan, atau bebas dari kesalahan. Akses dapat dipengaruhi oleh factor di luar kendali kami, termasuk kegagalan teknis atau kegiatan pemeliharaan. Kami tidak akan bertanggung jawab atas waktu henti, gangguan, atau disrupsi pada Situs Web atau Layanan kami, baik yang dijadwalkan maupun yang tidak dijadwalkan.

9.3Memproses Instruksi Transaksi Anda

  • Kami bertujuan untuk memproses dan menyelesaikan semua Instruksi Transaksi dalam waktu 24 jam. Anda dapat menghubungi kami untuk menanyakan status transaksi apa pun. Namun, harap dicatat bahwa jangka waktu ini hanya bersifat indikatif dan tidak dijamin. Kami tidak bertanggung jawab atas keterlambatan dalam pemrosesan.
  • Jika Instruksi Transaksi dipesan setelah jam 2 siang, atau kapan saja pada hari bukan hari kerja, maka akan dianggap dipesan pada hari kerja berikutnya.
  • Anda akan diberitahu tentang perkiraan waktu penyelesaian untuk Instruksi Transaksi Anda setelah kami menerima dana anda. Jika penyelesaian yang dijadwalkan jatuh pada bukan hari kerja di negara Penerima, transaksi akan diproses pada hari kerja berikutnya.
  • Untuk memenuhi kewajiban peraturan kami, kami dapat melakukan pemeriksaan verifikasi pada transaksi Anda. Pemeriksaan verifikasi dapat meningkatkan waktu pemrosesan Instruksi Transaksi Anda. Kami tidak bertanggung jawab dan tidak dapat dimintai pertanggungjawaban atas keterlambatan apa pun sebagai akibat dari melakukan pemeriksaan tersebut.
  • Kami berkewajiban untuk memberikan penjelasan mengenai setiap penolakan dan/atau penundaan Instruksi Transaksi kepada anda. Jika kami telah menerima dana anda untuk Instruksi Transaksi yang ditolak, kami akan mengembalikan jumlah penuh yang kami terima ke Sumber Rekening yang digunakan untuk mendanai Instruksi Transaksi.
  • Jika kami menerima dana anda setelah pukul 2:00 PM atau pada bukan hari kerja, kami akan mengembalikan jumlah penuh yang kami terima ke Sumber Rekening anda yang digunakan untuk mendanai Instruksi Transaksi. Instruksi Transaksi anda tidak akan dibatalkan atau ditolak. Anda dapat membuat kembali transfer dengan mengirimkan dana kepada kami pada hari kerja berikutnya sebelum pukul 2:00 PM atau selama jam operasional kami.

9.4Nilai Tukar

  • Nilai tukar yang berlaku akan diberitahukan kepada anda sebelum anda mengonfirmasi Instruksi Transaksi yang melibatkan konversi mata uang.
  • Nilai tukar akan ditampilkan selama proses Instruksi Transaksi jika transaksi melibatkan penukaran mata uang.
  • Nilai tukar yang diterapkan pada Instruksi Transaksi anda akan didasarkan pada nilai tukar yang berlaku pada tanggal dan waktu instruksi tersebut dikonfirmasi.
  • Anda sepenuhnya bertanggung jawab untuk meninjau dan menerima nilai tukar sebelum mengonfirmasi Instruksi Transaksi. Kami sangat menyarankan anda untuk berhati-hati dan memastikan bahwa anda merasa cukup dengan nilai tukar yang diberikan.

9.5Biaya dan Beban Biaya Kami

  • Kami membebankan biaya transaksi tetap (secara kolektif disebut sebagai "Biaya dan pungutan") untuk setiap Instruksi Transaksi yang sepenuhnya terlihat oleh anda sebelum anda menerima dan mengonfirmasi setiap Instruksi Transaksi.
  • Biaya dan pungutan ini berbeda untuk setiap pasangan mata uang.
  • Biaya dan pungutan yang dibebankan oleh kami tidak termasuk biaya atau harga tambahan yang mungkin dibebankan oleh bank anda, bank penerima anda, atau penyedia layanan pembayaran lainnya yang terlibat dalam proses Instruksi Transaksi Anda. Tergantung pada situasinya, biaya dan pungutan tersebut dapat dipotong dari dana anda sebelum transfer dilakukan atau dari jumlah yang diterima oleh Penerima anda.
  • Jika Anda memberikan rincian Penerima yang tidak valid, lembaga keuangan penerima dapat menolak untuk memproses Instruksi Transaksi anda. Dalam kasus seperti itu, kami dapat membebankan biaya penanganan yang akan dipotong dari jumlah yang dikirim sebelum sisa dana dikembalikan kepada anda.
  • Kami dapat membebankan biaya untuk setiap perubahan atau pembatalan Instruksi Transaksi yang disebabkan karena alasan yang sama. Selain itu, kami dapat membebankan biaya untuk setiap permintaan pengambilan, terlepas dari apakah pengambilan tersebut berhasil atau tidak.

9.6Pemberitahuan Penting untuk Anda

  1. Kami akan mengirimkan pemberitahuan kepada anda melalui email atau alat komunikasi lainnya untuk memberi tahu anda tentang:
    1. Perubahan status Instruksi Transaksi;
    2. Pembaruan yang berkaitan dengan permintaan khusus seperti amandemen, pembatalan, atau pengambilan;
    3. Perubahan pada Perjanjian ini;
    4. Perubahan pada Layanan yang ditawarkan oleh kami;
    5. Perubahan pada cara kami menawarkan Layanan kami kepada anda;
    6. Informasi yang dapat memengaruhi cara anda menggunakan Layanan kami; atau
    7. Informasi lain sebagaimana diwajibkan oleh undang-undang.
  2. Kami bertujuan untuk memberi anda jangka waktu pemberitahuan yang wajar untuk setiap perubahan material sehingga anda dapat membuat pengaturan yang diperlukan.
  3. Jika kami tidak menerima pemberitahuan yang menunjukkan bahwa email kami tidak terkirim, email tersebut akan dianggap telah diterima oleh anda pada hari yang sama saat dikirim ke alamat email terdaftar anda atau melalui saluran komunikasi lainnya yang kami gunakan.

9.7Penyelesaian Masalah

  • Kami berkomitmen untuk menyelesaikan setiap sengketa dengan adil, tidak memihak, dan beralasan. Meskipun kekhawatiran dan umpan balik anda akan dipertimbangkan dengan cermat, keputusan akhir kami bersifat mengikat. Jika anda ingin mengajukan banding, anda dapat meminta peninjauan melalui mekanisme yang telah ditetapkan di negara setempat dan badan terkait untuk peninjauan independen terhadap kasus tersebut.

9.8Pencatatan dan Laporan Rekening

  • Kami berhak untuk menyimpan catatan atau data lain dalam format elektronik yang berkaitan dengan Anda, Layanan, atau Transaksi apa pun. Sejauh yang diizinkan oleh hukum, setiap rekaman digital tersebut akan dianggap sebagai bukti penerimaan dan keabsahan Instruksi Transaksi yang disebutkan di atas.
  • Kami memberikan salinan riwayat transaksi Anda melalui email setiap kali anda membuat Instruksi Transaksi. Riwayat transaksi akan menunjukkan (i) mata uang transaksi dan jumlah yang diproses, (ii) nilai tukar mata uang asing yang diterapkan untuk konversi mata uang apa pun, (iii) biaya yang dibebankan, dan (iv) tanggal ketika transaksi disetujui.
  • Dengan mengakses Akun anda melalui Situs Web kami, anda dapat melihat informasi detail untuk setiap transaksi yang telah selesai. Kami akan menyediakan catatan menyeluruh, termasuk biaya yang dibayarkan sehubungan dengan transaksi tersebut.

10.Kode Promosi dan Kampanye Promosi

10.1Kode promosi apa pun yang kami berikan tidak dapat digunakan bersama dengan promosi lain kecuali dinyatakan lain.

10.2Anda harus memiliki akun yang berhasil terdaftar dengan kami untuk menggunakan kode promosi.

10.3Segala bentuk promosi tidak dapat ditukar dengan uang tunai atau manfaat lainnya.

10.4Kami berhak untuk mengubah atau menghentikan promosi apa pun kapan saja tanpa memberi Anda pemberitahuan sebelumnya atau bentuk kompensasi apa pun.

10.5Kami berhak untuk mendiskualifikasi Anda dari promosi jika kami menganggap bahwa Anda telah terlibat dalam perilaku yang kami anggap tidak pantas atau tidak dapat diterima.

11.Perubahan pada Perjanjian ini

11.1Kami berhak untuk mengubah semua atau sebagian dari Perjanjian ini. Apabila terdapat perubahan, kami akan memberi tahu anda selambat-lambatnya 30 (tiga puluh) hari kerja sebelum perubahan berlaku melalui alamat email yang anda daftarkan dengan kami.

11.2Jika Anda keberatan dengan perubahan apa pun pada Perjanjian ini, anda harus mengajukan permintaan penghentian kepada kami pada support@transwap.com dalam waktu 30 (tiga puluh) hari kerja sejak pemberitahuan perubahan tersebut. Jika anda tidak memberi tahu kami dalam periode ini, atau jika anda terus menggunakan Layanan kami setelah pemberitahuan perubahan, maka akan dianggap bahwa anda telah menerima perubahan tersebut.

12.Kapan kami dapat menangguhkan akun Anda?

12.1Kami berhak untuk menangguhkan sebagian atau seluruh akses anda ke Layanan kami jika:

  • Kami tidak dapat memverifikasi identitas Anda.
  • Anda gagal memberikan informasi yang diminta oleh kami untuk memfasilitasi Instruksi Transaksi Anda.
  • Kami menerima instruksi untuk melakukannya oleh otoritas terkait.
  • Kami yakin informasi yang anda berikan tidak benar, tidak sah, atau curang.
  • Kami yakin bahwa akses ke Akun Anda telah disusupi.
  • Untuk melakukan pemeriksaan peraturan, kami mungkin menghentikan eksekusi transaksi anda, atau kami mungkin menolak untuk mengeksekusinya sama sekali. Kecuali ada penipuan yang jelas dan nyata atau kecerobohan yang disengaja di pihak kami, kami tidak akan bertanggung jawab atas kerugian apa pun yang diakibatkan oleh penangguhan atau penolakan tersebut.
  • Kami mungkin tidak mengungkapkan alasan penangguhan anda, terutama apabila transaksi anda sedang dalam peninjauan hukum dan/atau peraturan atau diduga menyalahgunakan penggunaan.

12.2Ketika Akun anda ditangguhkan, anda tidak akan dapat memesan Instruksi Transaksi apa pun. Dana di Akun anda akan tetap menjadi milik anda, tetapi anda tidak akan dapat mengakses atau menggunakannya sampai penangguhan dicabut.

12.3Kami tidak menjamin batas waktu untuk mencabut penangguhan dan maka dari itu kami tidak bertanggung jawab atas kerugian apa pun, baik yang diderita oleh anda atau pihak ketiga mana pun, atas hasil dari penangguhan.

13.Pengakhiran

13.1Kami dapat segera menangguhkan atau mengakhiri pendaftaran anda dan Perjanjian ini kapan saja tanpa pemberitahuan atau penjelasan sebelumnya kepada anda jika:

  • Kami menentukan bahwa anda tidak memenuhi syarat untuk menggunakan Layanan kami atau bahwa anda menggunakan Layanan kami untuk tujuan yang tidak diizinkan atau dilarang berdasarkan ketentuan kami dan peraturan yang berlaku.
  • Kami menemukan bahwa Akun anda tidak dioperasikan dengan cara yang benar atau teratur sebagaimana diatur dalam Perjanjian ini.
  • Kami menemukan bahwa Anda telah terlibat dalam perilaku yang kami anggap mencurigakan.
  • Kami menemukan bahwa Anda memiliki Akun duplikat yang dibuka untuk orang yang sama.
  • Kami memiliki alasan yang masuk akal untuk meyakini bahwa Anda melanggar hukum atau peraturan yang berlaku.
  • Anda telah melanggar salah satu ketentuan Perjanjian ini.
  • Kami diwajibkan untuk melakukannya untuk memenuhi kewajiban peraturan kami, baik di Republik Indonesia maupun di tempat lain di dunia.
  • Merupakan pelanggaran hukum bagi kami untuk terus memberikan Layanan kami kepada Anda.
  • Anda telah memberi kami informasi yang tidak benar, tidak akurat, tidak lengkap, atau menyesatkan.
  • Anda menjadi insolven atau bangkrut atau tunduk pada proses peradilan.
  • Anda menjadi subjek penyelidikan atas pelanggaran yang berkaitan dengan pencucian uang, penghindaran pajak, atau pendanaan terorisme, dan pelanggaran predikatnya.
  • Anda secara persisten tidak menjawab atau tidak dapat dihubungi melalui nomor telepon atau alamat email yang anda berikan kepada kami; atau
  • Anda atau bank Anda menginisiasikan penolakan bayar atau penolakan percobaan transfer.

13.2Kami dapat menangguhkan atau menolak untuk mengeksekusi Instruksi Transaksi jika salah satu alasan yang disebutkan di atas dalam Klausul 13.1 berlaku untuk Penerima di Instruksi Transaksi.

13.3Anda dapat mengakhiri Perjanjian ini dengan menghubungi kami di support@transwap.com.

13.4Dalam semua kasus, kami berhak untuk menentukan tanggal efektif dari pengakhiran berdasarkan kebijakan kami sendiri.

13.5Penghentian dari Perjanjian ini tidak akan memengaruhi transaksi atau kewajiban yang muncul sebelum tanggal efektif pengakhiran. Setelah pengakhiran, kami akan menyimpan catatan transaksi anda sesuai dengan persyaratan peraturan yang berlaku dan kebijakan penyimpanan kami.

14.Hak Kekayaan Intelektual Kami

14.1Layanan kami dilindungi oleh undang-undang hak cipta, rahasia dagang, dan kekayaan intelektual lainnya. Kami dan/atau pemberi lisensi kami memiliki kepemilikan, hak cipta, dan hak kekayaan intelektual lainnya di seluruh dunia dalam semua layanan yang berkaitan dengan Transwap. Menggunakan Transwap dan Layanan kami tidak memberi anda hak apa pun atas merek dagang atau merek Layanan kami.

14.2Untuk tujuan Syarat dan Ketentuan ini, hak kekayaan intelektual berarti semua hak paten, hak cipta, hak moral, hak publisitas, merek dagang, pakaian dagang dan hak merek layanan, niat baik, hak rahasia dagang dan hak kekayaan intelektual lainnya yang mungkin ada sekarang atau selanjutnya, dan semua aplikasi dan pendaftaran, perpanjangan dan perpanjangannya, berdasarkan hukum Negara Republik Indonesia dan negara, wilayah, atau yurisdiksi lainnya.

14.3Anda setuju untuk tidak mengubah, menyalin, mendistribusikan, mengekstrak, menyediakan, memodifikasi, mengaburkan, mereproduksi, mengutak-atik, atau menggunakan konten apa pun di Situs Web kami tanpa izin tertulis sebelumnya dari kami. Setiap penggunaan konten tersebut yang tidak sahdapat dianggap sebagai pelanggaran hak kekayaan intelektual kami, dan kami mempertahankan semua hak untuk menegakkan dan melindungi hak-hak tersebut sejauh yang diizinkan oleh peraturan.

15.Perlindungan dan Kerahasiaan Data

15.1Semua informasi yang anda berikan kepada kami tentang diri anda, yang dikenal sebagai "Informasi Pribadi” atau “Data Pribadi", dikelola sesuai dengan ketentuan hukum dan peraturan yang berlaku yang mengatur kerahasiaan dan perlindungan data. Kami berkomitmen untuk menjaga kerahasiaan dari informasi pribadi milik anda. Namun, dalam keadaan tertentu, seperti saat diamanatkan oleh hukum yang berlaku, peraturan, atau perintah pengadilan, kami mungkin terikat secara hukum untuk mengungkapkan informasi tersebut.

15.2Dengan memasuki Perjanjian ini, anda secara eksplisit menyetujui penerimaan, penggunaan, pemrosesan, dan pengungkapan kami atas informasi Anda (termasuk namun tidak terbatas pada Informasi Pribadi) sesuai dengan Kebijakan Privasi kami, yang tersedia di https://www.transwap.com/privacy-notice. Persetujuan anda atas Perjanjian mengatur persetujuan eksplisit anda terhadap ketentuan dalam Kebijakan Privasi kami.

16.Keamanan Informasi

16.1Kami tidak menjamin bahwa Situs Web atau aplikasi kami akan aman atau bebas dari bug atau virus.

16.2Anda bertanggung jawab untuk mengonfigurasi perangkat, sistem, dan jaringan anda untuk memastikan akses yang keamanan dan untuk mengakses Situs Web atau aplikasi kami.

16.3Anda tidak boleh menyalahgunakan Layanan kami dengan memasukkan virus, trojan, worm, bom logika, atau materi lain yang berbahaya atau berbahaya secara teknologi. Anda dilarang keras untuk mendapatkan akses tidak sah ke Situs Web kami, server tempat Situs Web kami disimpan, atau server, komputer, atau database apa pun yang terhubung ke Situs Web kami. Anda tidak boleh melakukan atau berpartisipasi dalam serangan penolakan layanan atau serangan penolakan layanan terdistribusi apa pun terhadap Situs Web kami.  

Pelanggaran atas ketentuan ini dapat mengartikan tindak pidana berdasarkan Pasal 30 Undang-Undang No. 11 Tahun 2008 tentang Informasi dan Transaksi Elektronik dan peraturan perubahannya. Kami berhak untuk melaporkan pelanggaran tersebut kepada otoritas pemerintah, lembaga publik, dan/atau lembaga penegak hukum terkait dan akan sepenuhnya bekerja sama untuk mengungkapkan identitas anda sebagaimana dipersyaratkan. Dalam hal pelanggaran tersebut, hak anda untuk menggunakan Layanan kami akan segera dihentikan.

16.4Tautan dari Situs Web Kami

  • Kami dapat menyediakan tautan ke situs dan sumber daya lain yang disediakan oleh pihak ketiga. Tautan ini disediakan hanya untuk tujuan  informasi. Kami tidak mengendalikan, mendukung, atau memiliki tanggung jawab atas konten, keakuratan, atau praktik situs web pihak ketiga mana pun. Anda disarankan untuk melakukan uji tuntas dan berhati-hati saat mengakses atau menggunakan situs eksternal tersebut.
  • Mengakses situs dari Situs Web kami tidak menyiratkan dukungan apa pun oleh kami atas website pihak ketiga, konten milik mereka atau sumber daya yang mereka sediakan. Kami tidak menjamin atau mendukung saran, pendapat, pernyataan, atau informasi lain apa pun yang mungkin ditampilkan melalui situs web dari pihak ketiga tersebut. Kami tidak bertanggung jawab atas keakuratan, kelengkapan, dan legalitas dari konten yang disediakan oleh pihak eksternal tersebut, dankami tidak bertanggung jawab atas kehilangan atau kerusakan yang mungkin timbul dari akses atau penggunaan andaterhadap situs tersebut..

17.Penolakan untuk Penggunaan Layanan Kami

17.1 Dalam menyediakan Layanan kepada anda, baik kami maupun afiliasi kami, perusahaan induk atau perusahaan holding, anak perusahaan, karyawan, pejabat, direktur, agen, penyedia layanan, atau subkontraktor, tidak memberikan jaminan atau pernyataan apa pun kecuali sebagaimana diatur dalam Perjanjian ini.Sejauh diizinkan oleh hukum yang berlaku, semua jaminan dan pernyataan tersirat dan menurut undang-undang, termasuk namun tidak terbatas pada jaminan apa pun tentang  kelayakan untuk diperdagangkan, kesesuaian untuk tujuan tertentu, atau non-pelanggaran dengan ini secara tegas ditolak.

17.2Sejauh diizinkan oleh hukum yang berlaku, dalam keadaan apa pun, kami atau afiliasi, perusahaan induk atau perusahaan holding, anak perusahaan, karyawan, pejabat, direktur, agen, penyedia layanan, atau subkontraktor tidak bertanggung jawab kepada anda atau pihak ketiga mana pun atas kerusakan tidak langsung, insidentil, khusus, konsekuensial, hukuman, atau hukuman tambahan. Ini termasuk namun tidak terbatas pada, kerusakan dari kehilangan data, kehilangan pemasukan, kehilangan profit, kegagalan untuk merealisasikan penghematan atau pendapatan yang diharapkan, atau kerugian ekonomi atau keuangan lainnya baik yang timbul karena perbuatan melawan hukum (termasuk kelalaian), kontrak, tanggung jawab mutlak, atau teori hukum atau ekuitas lainnya.

17.3Kami tidak akan bertanggung jawab atas barang atau jasa apa pun yang dibeli atau dijual oleh anda sehubungan dengan, atau yang diselesaikan melalui penggunaan anda dalam Layanan. Kami juga tidak akan bertanggung jawab atas peristiwa apa pun yang berada di luar kendali kami, termasuk yang tidak biasa, atau tidak terduga, atau yang dipersyaratkan oleh kewajiban atau perintah hukum.  

Kecuali kami memiliki kewajiban hukum yang menyatakan sebaliknya, kami tidak bertanggung jawab atas:

  • kegagalan atau ketidakmampuan anda untuk berkomunikasi dengan sistem;
  • kehilangan data atau keterlambatan transmisi yang disebabkan oleh penyedia layanan pihak ketiga termasuk penyedia layanan internet;
  • virus komputer, spyware atau malware yang berasal dari pihak ketiga;
  • kesalahan yang diakibatkan oleh informasi yang anda berikan tidak lengkap atau tidak akurat;
  • penggunaan, akses, atau intersepsi informasi yang tidak sah saat anda mengakses Layanan.

17.4Kami dapat dari waktu ke waktu memberi Anda informasi tentang tren pasar historis dan saat ini, metodologi dan pola pemrosesan transaksi, pembaruan tentang pasangan mata uang, atau informasi lain yang kami yakini mungkin berguna bagi Anda. Ini bisa berupa komunikasi verbal, artikel di Situs Web kami, atau komunikasi email yang kami kirimkan. Informasi dan publikasi tersebut tidak dimaksudkan untuk dan bukan merupakan saran profesional atau saran atau rekomendasi lain dalam bentuk apa pun. Kami juga tidak menjamin bahwa informasi dan publikasi tersebut akurat, terkini, atau berlaku untuk keadaan kasus tertentu. Anda harus melakukan uji tuntas Anda sendiri dan berhati-hati saat menggunakan Layanan kami. Kami tidak akan bertanggung jawab kepada Anda jika Anda memilih untuk bertindak berdasarkan informasi yang kami berikan. Kami tidak mengecualikan tanggung jawab atas masalah apa pun di mana akan melanggar hukum untuk melakukannya termasuk tanggung jawab atas kematian atau cedera pribadi yang disebabkan oleh kelalaian kami, untuk penipuan atau pelanggaran hak hukum Anda di mana akan melanggar hukum untuk mengecualikan hak-hak tersebut.

17.5Anda menyetujui kami menggunakan informasi kontak apa pun yang telah anda berikan kepada kami, seperti alamat email, nomor telepon (termasuk nomor ponsel), dan alamat pos, untuk menghubungi anda tentang masalah apa pun yang berkaitan dengan Perjanjian, layanan, atau masalah operasional ini.

17.6Kecuali atau hingga anda memberi tahu kami alamat email baru secara tertulis, kami akan terus berkorespondensi dengan anda melalui alamat email yang anda berikan pada awal terhubung dengan kami. Anda berkewajiban untuk memberi tahu kami secara tertulis tentang perubahan apa pun pada alamat email atau surat anda sesegera mungkin.

17.7Pemberitahuan yang dikirim melalui pos, akan dianggap diterima oleh Anda pada hari kelima (ke-5) setelah tanggal posting, dan jika dikirim melalui situs web, akan dianggap diterima secara instan melalui email.

17.8Kami mungkin, atas kebijakan kami sendiri, menerima  instruksi yang diterima melalui email jika kami cukup yakin bahwa instruksi tersebut asli. Namun, kami tidak memiliki kewajiban untuk melakukan hal tersebut dan mungkin membutuhkan verifikasi tambahan atau menolak untuk menindaklanjuti instruksi tersebut tanpa menyediakan alasan.

17.9Anda setuju untuk memberi tahu kami baik secara tertulis, melalui customer support, atau email dalam jangka waktu 14 hari kerja setelah perubahan apa pun pada nama, alamat, atau informasi kontak anda. Hal ini penting untuk memastikan bahwa catatan kami tetap akurat dan terkini. Kkami tidak akan bertanggung jawab atas kerugian atau kerusakan yang anda derita sebagai akibat dari menyediakan informasi yang salah, sudah lama, atau tidak lengkap.

17.10Setiap ketentuan dalam Perjanjian ini terpisah dan dapat dipisahkan satu sama lain. Jika salah satu dari syarat dan ketentuan ini ditemukan tidak valid, melanggar hukum, atau tidak dapat dilaksanakan oleh undang-undang yurisdiksi mana pun, seperti tidak valid, pelanggaran hukum, atau ketidakberlakuan tersebut tidak akan memengaruhi validitas, keabsahan, atau keberlakuan terhadap ketentuan lainnya dari Perjanjian ini, yang akan tetap berlaku penuh.Lebih lanjut, ketentuan yang terdampak tidak akan memengaruhi keberlakuan Perjanjian ini berdasarkan hukum di yurisdiksi lain mana pun.

17.11Tidak ada dalam Perjanjian ini yang membatasi atau memengaruhi hak hukum anda, termasuk namun tidak terbatas pada hak anda untuk menghentikan penggunaan Layanan kapan saja, hak anda untuk mencari solusi atas kesalahartian dari Layanan, dan hak lainnya yang diberikan kepada anda berdasarkan peraturan pelindungan konsumen yang berlaku.

18.Ketentuan Penting Lainnya

18.1Tidak Melepaskan Hak

  • Setiap kegagalan atau keterlambatan oleh kami dalam melaksanakan atau menegakkan hak apa pun berdasarkan Perjanjian ini tidak akan dianggap sebagai pengesampingan hak tersebut, dan tidak akan merugikan atau memengaruhi kemampuan kami untuk menjalankan hak tersebut di kemudian hari. Kami berhak untuk menegakkan hak kami secara ketat dan atas kebijakan kami sendiri.
  • Selain itu, tidak ada pengabaian oleh Transwap atau hak atau kekuasaannya berdasarkan Perjanjian ini yang akan dianggap telah dibuat kecuali dinyatakan secara tertulis dan ditandatangani oleh perwakilannya yang berwenang.

18.2Seluruh Perjanjian

  • Perjanjian ini, Bersama dengandokumen apa pun yang secara tegas dirujuk disinimerupakan keseluruhan Perjanjian di antara anda dan kami, dan menggantikan semua diskusi, korespondensi, pengaturan, atau pemahaman sebelumnya, baik lisan maupun tertulis, yang berkaitan dengan pokok bahasan Perjanjian ini.
  • Perjanjian ini dapat diberikan kepada Anda dalam Bahasa Indonesia atau Bahasa Inggris. Jika ada ketidakkonsistenan yang muncul antara versi Bahasa Inggrisdonesia dan Bahasa Inggris dari Perjanjian, versi Bahasa Inggris dari Perjanjian yang akan berlaku.

18.3Keterpisahan

  • Jika ada ketentuan dalam Perjanjian ini yang dianggap batal demi hukum, tidak valid, atau tidak dapat diberlakukan berdasarkan hukum yang berlaku, seperti ketidakabsahan tersebut tidak akan mempengaruhi validitas, legalitas, dan keberlakuan ketentuan lainnya, yang akan tetap berlaku sepenuhnya.

18.4Penugasan

  • Anda tidak boleh mengalihkan atau memindahkan, atau dengan cara lain menghilangkan hak atau kewajiban anda berdasarkan Perjanjian ini tanpa persetujuan tertulis kami sebelumnya.
  • Kami dapat mengalihkan atau memindahkan hak atau kewajiban apa pun milik kami berdasarkan Perjanjian ini kepada pihak ketiga tanpa persetujuan atau pemberitahuan kepada anda sebelumnya, dengan ketentuan bahwa pengalihan tersebut tidak berdampak buruk pada hak anda berdasarkan Perjanjian ini.

18.5Pemberitahuan kepada Kami

  • Setiap pemberitahuan klaim hukum atau proses lain sesuai dengan Perjanjian ini harus dikirimkan melalui pos ke alamat terdaftar Transwap di PT Transwap Dunamis Indonesia, Jalan Merdeka No. 1 Cimone, Karawaci, Banten 15114.

18.6Penyedia Layanan Kami

  • Kami dapat menggunakan agen dan penyedia layanan pihak ketiga untuk membantu kami memberikan Layanan kami kepada Anda. Dalam Layanan apa pun, baik disediakan langsung oleh kami atau melalui agen kami atau  penyedia layanan,dijalankan atas kebijaksanaan kami sendiri dan akan tetap berada di bawah pengawasan, supervisi,dan kendali kami.

19.Hukum yang Mengatur dan Yurisdiksi

19.1Perjanjian ini dan setiap perselisihan atau klaim yang timbul dari atau sehubungan dengannya, baik yang bersifat kontraktual mau pun non kontraktual, termasuk pokok bahasan atau pembentukannya, akan diatur oleh dan ditafsirkan sesuai dengan hukum Negara Republik Indonesia.

19.2Transwap dan anda akan berusaha untuk menyelesaikan setiap perselisihan, kontroversi, atau klaim yang timbul dari atau sehubungan dengan pembentukan, kinerja, penghentian, dan/atau pelanggaran Perjanjian ini melalui negosiasi dengan itikad baik sebagai langkap pertama sebelum melakukan proses hukum formal apa pun.

19.3Para Pihak setuju bahwa Badan Arbitrase Nasional Indonesia (BANI) di Jakarta akan memiliki yurisdiksi eksklusif untuk menyelesaikan setiap perselisihan atau klaim yang timbul dari atau sehubungan dengan Perjanjian atau pokok bahasan atau pembentukannya (termasuk perselisihan atau klaim non-kontraktual).

SEBAGAI SAKSI, perwakilan resmi dari para pihak di sini telah menandatangani Syarat dan Ketentuan PT Transwap Dunamis Indonesia ini pada tanggal pertama kali tertulis di atas.

1. What is the User Agreement and why is it important?

1.1 About this agreement: The TranSwap User Agreement (this “Agreement”) is a legally binding agreement between you (“you” or “User”), or any entity you are authorised to represent, and Transwap Private Limited (“TranSwap”, “we”, “us”, or “our” as applicable).

1.2 Important information about Transwap: You are advised to read this Agreement carefully. Transwap Private Limited is not a bank and therefore the Singapore Deposit Insurance Scheme (SDIC) does not apply.

1.3 Using our services: This Agreement sets out the terms and conditions (“Terms and Conditions” or “terms” as applicable) governing the use of our website www.transwap.com (“Website”) and its related services that we may agree to provide you from time to time (“Services”), including applications which allow you to use our Services. These Terms and Conditions are binding on you therefore it is important that you read and understand this Agreement.

1.4 Other policies that apply: This Agreement includes our Privacy Policy and Cookie Policy which can be found at www.transwap.com.

1.5 Accepting these terms: By accessing and using the Website, you are deemed to have expressly read and understood this Agreement and accepted the Terms and Conditions when you use our Website and our Services. You agree to be bound by these Terms and Conditions and other specific rules and procedures as determined or as may be amended from time to time at our sole discretion.

1.6 Changes to this agreement: This Agreement may be subjected to changes at our sole discretion. We will inform you of the changes via your registered email address with us or any other means deemed appropriate by us. By continuing to use our services after the changes, you are deemed to have read and understood the Agreement and accepted the Terms and Conditions.

1.7 Headings and interpretation: The headings are for reference only. Please read and understand each individual clause in detail.

1.8 Latest version of the agreement: The most current version of this Agreement will always be found at https://www.transwap.com/terms-of-service.

2. Who is TranSwap and what do we do?

2.1 Our regulatory status: Transwap Private Limited is a company incorporated in Singapore with UEN 201427511E and a Major Payment Institution licensed by the Monetary Authority of Singapore (“MAS”) under Payment Services Act 2019 (“PSA”) to facilitate cross-border money transfers. Our license number is PS20200415. You may locate our details on the MAS Financial Institution directory.

2.2 Our registered office address is located at 435 Orchard Road Wisma Atria #12-03, Singapore 238877.

2.3 Our international licences: We are also licensed as a Money Service Operator (License Number ~ 16-07-01882) with the Hong Kong Customs and Excise Department (HKCED), as a Fund Transfer Operator (License Number 21/248/Sr/3) by Bank Indonesia (BI) and as an Electronic Money Institution (Firm Reference Number 963951) by the Financial Conduct Authority.

3. Definitions you should know

In this Agreement, unless otherwise expressed in a different context:

  • Account means all your accounts with us, including accounts for the purpose of using any of our Services.
  • App or Application means our mobile application software which you can use to access our Services, including any data and associated media with the software.
  • Authorised Person means a natural person authorised to bind you and/or your company under this Agreement.
  • Authorised User means a natural person authorised by an Authorised Person to use our Services on behalf of your company.
  • Balance means any amount of e-money held in your account with us.
  • Business Day means a day (except Saturdays, Sundays, and public holidays) on which financial institutions are open for business in Singapore.
  • Company or Business or Corporate means an entity who is not a natural person.
  • Customer means any legal person or company who have registered for an account and have been accepted by us.
  • Designated Account means a bank account provided by you to facilitate any future withdrawal requests.
  • E-money means stored value in your Account which is equivalent to the same amount in its corresponding stored currency. All money received in your Account is considered as e-money.
  • Payment transaction or Order means an instruction by a sender to send money to a receiver or an instruction by a Customer to fund an Account. This includes conversion of one currency to another within your Account.
  • Receiving Currency means the currency which your recipient will receive in a payment transaction.
  • Recipient or Beneficiary or Payee means the entity receiving the money from a payment transaction.
  • Services means any form of content, feature, function, product, service, or technology offered by us, including all related websites, applications, and services.
  • Sender or Originator or Payer means the entity initiating a payment transaction. In most cases, this will refer to you.
  • Sending Currency means the currency which you will fund a payment transaction.
  • Source Account means the account from which money is transferred from to fund a Payment Transaction.

4. Who can use our Services?

4.1 Age requirement: If you are an individual, you must be at least eighteen (18) years of age.

4.2 Company authorisation: If you represent a Company, you confirm that you have authority to bind the Company on whose behalf you use our Services, and that the Company accepts all the Terms and Conditions set out in this Agreement.

4.3 Eligibility requirements: You must be eligible to register and use our Services and have the right, full authority, and ability to enter into this Agreement and perform under these Terms and Conditions.

4.4 Legal compliance: You must ensure that you will not be violating any laws or regulations by registering with us, entering into or by performing any part of this Agreement, or by otherwise using our Services.

5. Your Account with TranSwap

5.1 What your account allows you to do: Your TranSwap Account allows you to hold, send, or receive payments. Your e-money in your Account is issued in accordance with PSA.

5.2 How your e-money works:

  • Will not earn any interest;
  • Will be subjected to daily balance limits and annual transaction limits as specified by PSA (For individual customers only);
  • Will not be withdrawable in cash;
  • Belongs to the legal person or company which is registered as our Customer; and
  • Is equivalent to the value of the respective currency it is held in.

5.3 Currency conversion: You may convert e-money held in a currency in your Account to any other currencies which we support from time to time. A conversion fee may apply for each conversion. You will be able to view the fees before ordering the transfer. You must agree to our fees to proceed with the conversion.

5.4 Using your account properly: You must not use your Account to send, receive, convert, or transfer on behalf of someone else. If you are an individual, you must not use your Account for business purposes.

5.5 Account limits for individuals:
If you are an individual customer, regulation requires us to limit the amount of e-money you can hold daily and e-money you can send each year. You will be subject to the following limits.

  • You may only hold a maximum of Singapore Dollars 5,000 or equivalent in e-money in your Account at end-day Singapore time. Any excess amount will be automatically withdrawn from your Account as a Payment Transaction to your Designated Account. You will be charged the prevailing transaction fee as though you have ordered the Payment Transaction. If your excess amount is held in other currencies, we will apply the prevailing exchange rate for the withdrawal.
  • You may only send a maximum of Singapore Dollars 30,000 or equivalent in e-money from your Account with us each year. This does not include withdrawal Payment Transactions made to your Designated Account. Once you have reached this limit, we will not allow any further Payment Transactions funded by your e-money except for Payment Transactions made to your Designated Account.

5.6 E-money in your Account may be withheld from you if:

  • Part or all of your balances in your Account is under an ongoing investigation either by us or by the relevant authorities;
  • Part or all of your balances in your Account is pending a transaction reversal; or
  • We are prohibited by law to allow the withdrawal of your e-money.

6. Using Your Transwap Account

6.1 Your responsibility for account security: You play an important part in helping us to provide you a safe environment to use our Services. Please read this section carefully as it will help to protect you when you are using our Services.

6.2 Registering Your Account

  • Account registration: You are required to register for an Account with us at https://app.transwap.com/signup before you can use our Services.
  • Information required for registration: As part of our regulatory obligations to the governing authorities, you are required to provide all of the following information:
    • Your full name
    • Your date of birth
    • Your nationality
    • Your country of birth
    • Your unique identification number
    • Your email address – which will be used as your login username
    • Your mobile contact number – which will be used for 2FA OTP verification
    • Your residential address
    • Your occupation and industry
    • Other identification documents and related information when required
    • Other information and/or documents which will allow us to understand your profile better
  • Identity verification: You are required to undergo our identity verification process to allow us to verify your identity. We may require you to go through a third-party verification system at our cost and discretion or conduct a face-to-face verification with you.
  • Accuracy of information: You will ensure that all information provided by you as part of your registration and use of our Services is current, accurate, and complete.
  • Keeping your information updated: You will ensure that all of your information provided at registration remains accurate and up to date, and you undertake to promptly notify us of any changes.
  • Identity and impersonation restrictions: You must not impersonate any other person, operate under an alias, or otherwise conceal your identity. We will use information provided by you, as well as the information that we receive from the use of the Website and our Services, to facilitate your participation in the services and for other purposes consistent with our Privacy Policy.
  • Additional information requests: From time to time, you may be required to provide additional information to allow us to continue providing our Services to you.
  • One account per user: You will register for an Account with us only once, and each User must maintain a separate registration. If we detect multiple active registrations for a single User, we reserve the right to merge or terminate the registration and refuse all continued use of our Services without notification to you.
  • Business account requirements: For Business Accounts, you also agree to the clauses stated on the account opening forms and account update forms (wherever applicable).

6.3 Keeping Your Account Safe

  • All instructions received from your registered email address or mobile contact number is deemed to be valid and is binding on you. Therefore, it is important that you keep your account safe at all times.
  • You must never disclose your login credentials or your customer reference number to a third party. We will never ask you for your password or customer reference number. These are not verification questions we ask our customers.
  • You should use a strong password to secure your Account. If you have forgotten your password, you can reset it by requesting for a link to be sent to your registered email address with us at https://identity.transwap.live/account/forgotpassword.
  • You must ensure that the email address and mobile contact number provided during registration belongs to you, and that they are secured and only accessible by you. Your email address may be used to reset your login password or to communicate with you about the security of your Account.
  • You must inform us immediately if your mobile contact number has changed, your email address has changed, or either your mobile contact number or email account has been compromised.
  • You must inform us immediately in case of any unauthorised or incorrect transaction, or if you suspect that your Account has been compromised.
  • When accessing your Account, you must ensure that your device is secured and maintained with the latest security updates. You are responsible for ensuring that your login session is safe and secured.

6.4 Managing Your Account

  • You are responsible for ensuring that your Account is in good order. You must check your Account regularly and inform us immediately if you discover any irregularities.
  • You will receive an email after the completion of every Payment Transaction. Your transactions can also be viewed after logging in to our Website. You must report any disputes within 24 hours from the time of a transaction. By not reporting any disputes to us within 24 hours, you agree that all transactions and entries in your transaction history are considered true and correct.
  • There are risks associated with holding multiple currencies in your Account. We have no control over the fluctuations in the relevant exchange rate pairs. We also have no control over currency controls which may be instituted by the respective corresponding country. By using this Service, you agree and accept all such risks.
  • You must ensure that your Account does not have a negative balance. You agree to have a zero or positive balance in your Account at all times. If your Account goes into a negative balance as a result of any actions carried out by you, including but not limited to fees, chargebacks, and transaction reversal, you must repay the negative balance immediately without requiring us to send you any notice.
  • You should ensure all fees payable by you are available from your Transwap Balance at all times before payment execution. Fees payable by you will be deducted from your active Transwap Balance with authorisation hereby upon the account activation. If your Transwap Balance is insufficient to cover, pay or settle the fees, we may refuse to execute the payment, subject to Transwap’s sole discretion. Reversal, payment cancellation, negative balance or chargeback fees will be deducted when incurred and you are liable to repay the fee immediately.
  • You may be charged a zero-conversion fee if you have not converted the payment into currencies upon payment execution. Zero-conversion fees will be charged when one or any transaction is executed. The fee is payable by you and due immediately; however, we reserve the right to send you reminders, e-debit notes or take appropriate actions at any time.
  • You may be charged an inactivity fee if you have not used the Transwap account and or services or the Transwap account has remained and maintained a zero balance, for a period of time as determined by us in its sole and reasonable discretion.

6.5 Ordering A Payment Transaction

  • You must provide all of the following information for every Payment Transaction:
    • Sending Currency and amount
    • Receiving Currency and amount
    • Name of the Receiver
    • Bank details of the Receiver
    • Other information where applicable or required
  • You are solely responsible for the accuracy and validity of all information submitted to us. You may be charged a fee for any amendments, rejection, cancellation, or retrieval of transaction already completed, regardless if the retrieval is successful or unsuccessful.
  • The exchange rate and transaction fees will be displayed at the ordering screen before you order any transaction. Once you have confirmed that you are agreeable to the displayed exchange rate and transaction fee, the Order cannot be modified. If you need to change any details, you must cancel and start a new payment transaction. Please note that you may or may not get the same exchange rate when you initiate a new payment transaction.
  • Transaction fees displayed does not include any fees your bank or your Recipient’s bank may charge for your Payment Transaction. Depending on the situation, the fees may be deducted from your funds or from the sent amount to your Recipient.
  • You may fund your Payment Transaction via a bank transfer from your bank account or from e-money held in your Account with us. The Source Account must be in your name. We do not accept any form of funding from a third party. We also do not accept other payment methods such as cash or cheque.
  • From time to time, we may allow you to fund your Payment Transaction or deposit e-money to your Account with us using other methods such as credit or debit cards, or similar accounts operated by other payment service providers. Whenever we avail such methods to you, you agree to not perform any chargebacks or refund requests. We are entitled to recovering costs incurred from any investigation regarding such activities from you.
  • We must receive sufficient funds for your Payment Transaction before your Payment Transaction is considered valid. We are not responsible for the time it takes for your bank or any other service provider to process funding instructions. The same applies if you have selected your TranSwap Account as the Source Account.
  • You may only cancel your Payment Transaction before we receive your funds. If you have chosen to fund your Payment Transaction with existing e-money in your Account, we will treat it as though we have received your funds immediately upon booking. You should contact us at support@transwap.com for any assistance.
  • We may cancel your Payment Transaction if we do not receive your funds within 24 hours.

6.6 Receiving Money In Your Account

  • You may receive money into your Account with us via methods which we explicitly allow. We may change these methods from time to time without any notice to you. You are responsible for the accuracy of such details you provide to the sender.
  • You will be able to view the received amount in your transaction history. You should check your transaction history for any discrepancies and inform us immediately of any irregularities.
  • The money being received into your Account may be subject to reversal. This is done on a case-by-case basis. You agree that we may deduct the money from your Account if it was reversed by the sender or any payment service provider, including banks. In such cases, you will be notified of the reversal via your registered email address before we effect the reversal.

6.7 Withdrawing Money From Your Account

  • You will not be able to withdraw from your Account in cash.
  • Withdrawals from your Account is identical to a Payment Transaction (refer to Clause 6.5). You will be charged a fee for each withdrawal request. This fee will be displayed at the ordering screen. You can only proceed if you agree with the displayed fees and charges.
  • All information of the bank account required for us to process your Payment Transaction must be added to your list of payees before you can perform the withdrawal.
  • You are responsible for providing accurate bank account information. We are not responsible for any money sent to the wrong recipient due to error arising from information provided by you. In such cases, you may request for a transaction reversal, but we cannot guarantee that such requests will be completed successfully. We may also charge a handling fee for such instructions, regardless if the reversal is completed successfully.
  • We are not responsible for the time your receiving bank or payment service provider takes to receive your money.

6.8 Paying Of Fees And Charges

  • You are solely responsible for the following:
    • All fees and charges charged by us and agreed by you during the ordering of a Payment Transaction;
    • All fees and charges charged by your bank arising from funding your Payment Transaction;
    • All fees and charges charged by the receiving bank arising from your Payment Transaction
    • All fees and charges involving any amendment, rejection, cancellation, or retrieval for your Payment Transaction.
    • All fees and charges involving breach of clauses of this agreement ( where applicable ) during the use of the account.

6.9 Communications Between Us

  • Our primary method of communication is via email. Therefore, you must ensure that your registered email address with us is valid at all times. Our emails to you may contain links to additional information on our Website. You are required to check your emails regularly and be alert of any information we may send to you.

6.10 Adhering To Relevant Laws

  • You must not use your Account or any Services we may provide to you to conduct or facilitate any form of illegal activity including but not limited to fraudulent activity, money laundering, or terrorism financing.
  • You must comply with all laws and regulations related to the use of our Services and the current Anti-Money Laundering and Counter-Terrorism Financing legislation of your residence country.
  • You must not share the access of your Account with a third party. For individual customers, you must remain the sole beneficial owner of your Account.

7. Our responsibilities to you

7.1 Safeguarding Your Money

  • As required by law, we must safeguard your money by keeping it with established financial institutions in separate accounts. Money in such accounts do not form part of our assets, and we are not allowed to use the money to finance our operations. These accounts are also not subject to claims by our creditors. If we become insolvent, you can make a claim for your money and it will be return to you, unless the depositing financial institution is insolvent.
  • We must hold either the exact currency or its equivalent in Singapore Dollars of your money in these separate accounts. Such accounts are usually marked with “Client Account” along with “Transwap Private Limited”.

7.2  Provision Of Services

  • We aim to allow our Users 24/7 access to our Website, except during scheduled maintenance where we will strive to inform you at least 24 hours prior. However, we reserve the right to temporarily suspend or limit access to all or part of our Website or our Services without notice, whether for maintenance or otherwise.
  • Notwithstanding the above, we do not guarantee that our Website or Services will be always available or be uninterrupted. We cannot be held liable for any downtime to our Website or Services, regardless of scheduled or ad-hoc.

7.3  Processing Your Payment Transactions

  • We aim to complete all Payment Transactions within 4 business days. Generally, transactions are completed within 2 business days. For orders involving certain receiving currencies, we may be able to complete your Payment Transaction within the same business day. Please reach out to us to enquire. However, all such transaction processing times are not guaranteed, and we cannot be held liable for any delays.
  • If a Payment Transaction is ordered after 6pm, or any time on a non-business day, it will be considered as ordered on the next business day.
  • You will be informed of the estimated completion time for your Payment Transaction when we receive your funds. If it falls on a non-business day at your Recipient’s country, the transaction will only be completed the next working day.
  • To fullfil our regulatory obligations, we may conduct verification checks on your transactions. Verification checks may increase the processing time of your Payment Transaction. We are not responsible and cannot be held liable for any delays as a result of conducting such checks.
  • We reserve the right to reject any instruction from you without providing to you any explanation. If we have received your funds for a Payment Transaction rejected by us, we will refund you the full amount received by us to your Source Account used to fund the Payment Transaction.

7.4  Exchange Rate

  • The applicable exchange rate will be made known to you clearly before you confirm a Payment Transaction. We provide two types of exchange rates: guaranteed and non-guaranteed.
  • We offer 24-hour guaranteed rates for selected currency pairs. This will be made clear to you during the process of ordering a Payment Transaction if it involves currency exchange. The 24-hour countdown starts from the moment you start the process of ordering a Payment Transaction.
  • We offer non-guaranteed rates for other currency pairs not under Clause 7.3.2.The exchange rate applicable shall be dependent on the date and time where we receive your funds for the Payment Transaction. If we do not clearly indicate that the rate is guaranteed, you should assume that it is non-guaranteed.
  • From time to time, we may change a currency pair from guaranteed to non-guaranteed and vice versa without prior notice to you. You should exercise caution and take note of the exchange rate before ordering a Payment Transaction.

7.5  Our Fees And Charges

  • We charge a minimal spread and fixed transaction fee (collectively referred to as “fees and charges”) for each Payment Transaction of which are fully visible to you before you accept and confirm every Payment Transaction.
  • These fees and charges differ from each currency pair and are subject to change without prior notice to you.
  • As mentioned before in Clause 6.5.4, fees and charges charged by us does not include any charges charged by your or your Recipient’s bank or payment service provider for processing your Payment Transaction. Depending on the situation, such fees and charges may be deducted from your funds or from the sent amount to your Recipient.
  • When you provide invalid payee details, the receiving financial institution may refuse to process your Payment Transaction. For such cases, we may charge a fee which will be deducted from the sent amount before returning your money to you.
  • We may charge a fee for any amendment or cancellation of an ordered Payment Transaction due to the same reasons. We may also charge a fee for any retrieval requests, regardless if the retrieval is successful.
  • Fees mentioned in Clause 7.4.4 and 7.4.5 are collectively referred to as “administration fees”.

1.1The TranSwap User Agreement (this “Agreement”) is a legally binding agreement between you (“you” or “User”), or any entity you are authorised to represent, and Transwap Private Limited (“TranSwap”, “we”, “us”, or “our” as applicable).

1.2You are advised to read this Agreement carefully. Transwap Private Limited is not a bank and therefore the Singapore Deposit Insurance Scheme (SDIC) does not apply.

1.3This Agreement sets out the terms and conditions (“Terms and Conditions” or “terms” as applicable) governing the use of our website www.transwap.com (“Website”) and its related services that we may agree to provide you from time to time (“Services”), including applications which allow you to use our Services. 2.Who is TranSwap and what do we do?

2.1Transwap Private Limited is a company incorporated in Singapore with UEN 201427511E and a Major Payment Institution licensed by the Monetary Authority of Singapore (“MAS”) under Payment Services Act 2019 (“PSA”) to facilitate cross-border money transfers. Our license number is PS20200415. You may locate our details on the MAS Financial Institution directory.

2.3We are also licensed as a Money Service Operator (License Number ~ 16-07-01882) with the Hong Kong Customs and Excise Department (HKCED), as a Fund Transfer Operator (License Number 21/248/Sr/3) by Bank Indonesia (BI) and as an Electronic Money Institution (Firm Reference Number 963951) by the Financial Conduct Authority.

3.Definitions you should know

3.1In this Agreement, unless otherwise expressed in a different context:

  • Account means all your accounts with us, including accounts for the purpose of using any of our Services.
  • App or Application means our mobile application software which you can use to access our Services, including any data and associated media with the software.
  • Authorised Person means a natural person authorised to bind you and/or your company under this Agreement.
  • Authorised User means a natural person authorised by an Authorised Person to use our Services on behalf of your company.
  • Balance means any amount of e-money held in your account with us.
  • Business Day means a day (except Saturdays, Sundays, and public holidays) on which financial institutions are open for business in Singapore.
  • Company or Business or Corporate means an entity who is not a natural person.
  • Customer means any legal person or company who have registered for an account and have been accepted by us.
  • Designated Account means a bank account provided by you to facilitate any future withdrawal requests.
  • E-money means stored value in your Account which is equivalent to the same amount in its corresponding stored currency. All money received in your Account is considered as e-money.
  • Payment transaction or Order means an instruction by a sender to send money to a receiver or an instruction by a Customer to fund an Account. This includes conversion of one currency to another within your Account.
  • Receiving Currency means the currency which your recipient will receive in a payment transaction.
  • Recipient or Beneficiary or Payee means the entity receiving the money from a payment transaction.
  • Services means any form of content, feature, function, product, service, or technology offered by us, including all related websites, applications, and services.
  • Sender or Originator or Payer means the entity initiating a payment transaction. In most cases, this will refer to you.
  • Sending Currency means the currency which you will fund a payment transaction.
  • Source Account means the account from which money is transferred from to fund a Payment Transaction.

4.Who can use our Services?

4.1If you are an individual, you must be at least eighteen (18) years of age.

4.2If you represent a Company, you confirm that you have authority to bind the Company on whose behalf you use our Services, and that the Company accepts all the Terms and Conditions set out in this Agreement.

4.3You must be eligible to register and use our Services and have the right, full authority, and ability to enter into this Agreement and perform under these Terms and Conditions.

4.4You must ensure that you will not be violating any laws or regulations by registering with us, entering into or by performing any part of this Agreement, or by otherwise using our Services.

5.Your Account with TranSwap

5.1Your TranSwap Account allows you to hold, send, or receive payments. Your e-money in your Account is issued in accordance with PSA.

5.2Your e-money held in your Account with us:

  • Will not earn any interest;
  • Will be subjected to daily balance limits and annual transaction limits as specified by PSA (For individual customers only);
  • Will not be withdrawable in cash;
  • Belongs to the legal person or company which is registered as our Customer; and
  • Is equivalent to the value of the respective currency it is held in.

5.3You may convert e-money held in a currency in your Account to any other currencies which we support from time to time. A conversion fee may apply for each conversion. You will be able to view the fees before ordering the transfer. You must agree to our fees to proceed with the conversion.

5.4You must not use your Account to send, receive, convert, or transfer on behalf of someone else. If you are an individual, you must not use your Account for business purposes.

5.5If you are an individual customer, regulation requires us to limit the amount of e-money you can hold daily and e-money you can send each year. You will be subject to the following limits:

5.5.1You may only hold a maximum of Singapore Dollars 5,000 or equivalent in e-money in your Account at end-day Singapore time. Any excess amount will be automatically withdrawn from your Account as a Payment Transaction to your Designated Account. You will be charged the prevailing transaction fee as though you have ordered the Payment Transaction. If your excess amount is held in other currencies, we will apply the prevailing exchange rate for the withdrawal.

5.5.2You may only send a maximum of Singapore Dollars 30,000 or equivalent in e-money from your Account with us each year. This does not include withdrawal Payment Transactions made to your Designated Account. Once you have reached this limit, we will not allow any further Payment Transactions funded by your e-money except for Payment Transactions made to your Designated Account.

5.6E-money in your Account may be withheld from you if:

  • Part or all of your balances in your Account is under an ongoing investigation either by us or by the relevant authorities;
  • Part or all of your balances in your Account is pending a transaction reversal; or
  • We are prohibited by law to allow the withdrawal of your e-money.

6.5.5You may fund your Payment Transaction via a bank transfer from your bank account or from e-money held in your Account with us. The Source Account must be in your name. We do not accept any form of funding from a third party. We also do not accept other payment methods such as cash or cheque.

6.5.6From time to time, we may allow you to fund your Payment Transaction or deposit e-money to your Account with us using other methods such as credit or debit cards, or similar accounts operated by other payment service providers. Whenever we avail such methods to you, you agree to not perform any chargebacks or refund requests. We are entitled to recovering costs incurred from any investigation regarding such activities from you.

6.5.7We must receive sufficient funds for your Payment Transaction before your Payment Transaction is considered valid. We are not responsible for the time it takes for your bank or any other service provider to process funding instructions. The same applies if you have selected your TranSwap Account as the Source Account.

6.5.8 You may only cancel your Payment Transaction before we receive your funds. If you have chosen to fund your Payment Transaction with existing e-money in your Account, we will treat it as though we have received your funds immediately upon booking. You should contact us at support@transwap.com for any assistance.

6.5.9We may cancel your Payment Transaction if we do not receive your funds within 24 hours.

6.6Receiving Money In Your Account

6.6.1You may receive money into your Account with us via methods which we explicitly allow. We may change these methods from time to time without any notice to you. You are responsible for the accuracy of such details you provide to the sender.

6.6.2You will be able to view the received amount in your transaction history. You should check your transaction history for any discrepancies and inform us immediately of any irregularities.

6.6.3The money being received into your Account may be subject to reversal. This is done on a case-by-case basis. You agree that we may deduct the money from your Account if it was reversed by the sender or any payment service provider, including banks. In such cases, you will be notified of the reversal via your registered email address before we effect the reversal.

6.7Withdrawing Money From Your Account

6.7.1You will not be able to withdraw from your Account in cash.

6.7.2Withdrawals from your Account is identical to a Payment Transaction (refer to Clause 6.5). You will be charged a fee for each withdrawal request. This fee will be displayed at the ordering screen. You can only proceed if you agree with the displayed fees and charges.

6.7.3All information of the bank account required for us to process your Payment Transaction must be added to your list of payees before you can perform the withdrawal.

6.7.4You are responsible for providing accurate bank account information. We are not responsible for any money sent to the wrong recipient due to error arising from information provided by you. In such cases, you may request for a transaction reversal, but we cannot guarantee that such requests will be completed successfully. We may also charge a handling fee for such instructions, regardless if the reversal is completed successfully.

6.7.5We are not responsible for the time your receiving bank or payment service provider takes to receive your money.

6.8Paying Of Fees And Charges

6.8.1You are solely responsible for the following:

  • All fees and charges charged by us and agreed by you during the ordering of a Payment Transaction;
  • All fees and charges charged by your bank arising from funding your Payment Transaction;
  • All fees and charges charged by the receiving bank arising from your Payment Transaction; and
  • All fees and charges involving any amendment, rejection, cancellation, or retrieval for your Payment Transaction.
  • All fees and charges involving breach of clauses of this agreement ( where applicable ) during the use of the account.

6.8.2If you fail to pay us the fees and charges specified above in Clause 6.8.1, you authorise us to deduct such fees from your Account with us. If your Account does not have sufficient e-money to cover such amounts, you also authorise us to deduct the amounts from subsequent transactions without requiring any prior notice to you. If you continue to have any outstanding owed to you, we may refuse to our Services to you.

6.9Communications Between Us

6.9.1Our primary method of communication is via email. Therefore, you must ensure that your registered email address with us is valid at all times. Our emails to you may contain links to additional information on our Website. You are required to check your emails regularly and be alert of any information we may send to you.

6.10Adhering To Relevant Laws

6.10.1You must not use your Account or any Services we may provide to you to conduct or facilitate any form of illegal activity including but not limited to fraudulent activity, money laundering, or terrorism financing.

6.10.2You must comply with all laws and regulations related to the use of our Services and the current Anti-Money Laundering and Counter-Terrorism Financing legislation of your residence country.

6.10.3You must not share the access of your Account with a third party. For individual customers, you must remain the sole beneficial owner of your Account.

7.Our responsibilities to you

7.1Safeguarding Your Money

7.1.1As required by law, we must safeguard your money by keeping it with established financial institutions in separate accounts. Money in such accounts do not form part of our assets, and we are not allowed to use the money to finance our operations. These accounts are also not subject to claims by our creditors. If we become insolvent, you can make a claim for your money and it will be return to you, unless the depositing financial institution is insolvent.

7.1.2 We must hold either the exact currency or its equivalent in Singapore Dollars of your money in these separate accounts. Such accounts are usually marked with “Client Account” along with “Transwap Private Limited”.

7.2 Provision Of Services

7.2.1We aim to allow our Users 24/7 access to our Website, except during scheduled maintenance where we will strive to inform you at least 24 hours prior. However, we reserve the right to temporarily suspend or limit access to all or part of our Website or our Services without notice, whether for maintenance or otherwise.

7.2.2Notwithstanding the above, we do not guarantee that our Website or Services will be always available or be uninterrupted. We cannot be held liable for any downtime to our Website or Services, regardless of scheduled or ad-hoc.

7.3Processing Your Payment Transactions

7.3.1We aim to complete all Payment Transactions within 4 business days. Generally, transactions are completed within 2 business days. For orders involving certain receiving currencies, we may be able to complete your Payment Transaction within the same business day. Please reach out to us to enquire. However, all such transaction processing times are not guaranteed, and we cannot be held liable for any delays.

7.3.2If a Payment Transaction is ordered after 6pm, or any time on a non-business day, it will be considered as ordered on the next business day.

7.3.3You will be informed of the estimated completion time for your Payment Transaction when we receive your funds. If it falls on a non-business day at your Recipient’s country, the transaction will only be completed the next working day.

7.3.4To fulfil our regulatory obligations, we may conduct verification checks on your transactions. Verification checks may increase the processing time of your Payment Transaction. We are not responsible and cannot be held liable for any delays as a result of conducting such checks.

7.3.5We reserve the right to reject any instruction from you without providing to you any explanation. If we have received your funds for a Payment Transaction rejected by us, we will refund you the full amount received by us to your Source Account used to fund the Payment Transaction.

7.4Exchange Rate

7.4.1The applicable exchange rate will be made known to you clearly before you confirm a Payment Transaction. We provide two types of exchange rates: guaranteed and non-guaranteed.

7.4.2We offer 24-hour guaranteed rates for selected currency pairs. This will be made clear to you during the process of ordering a Payment Transaction if it involves currency exchange. The 24-hour countdown starts from the moment you start the process of ordering a Payment Transaction.

7.4.3We offer non-guaranteed rates for other currency pairs not under Clause 7.3.2.The exchange rate applicable shall be dependent on the date and time where we receive your funds for the Payment Transaction. If we do not clearly indicate that the rate is guaranteed, you should assume that it is non-guaranteed.

7.4.4From time to time, we may change a currency pair from guaranteed to non-guaranteed and vice versa without prior notice to you. You should exercise caution and take note of the exchange rate before ordering a Payment Transaction.

7.5Our Fees And Charges

7.5.1We charge a minimal spread and fixed transaction fee (collectively referred to as “fees and charges”) for each Payment Transaction of which are fully visible to you before you accept and confirm every Payment Transaction.

7.5.2These fees and charges differ from each currency pair and are subject to change without prior notice to you.

7.5.3As mentioned before in Clause 6.5.4, fees and charges charged by us does not include any charges charged by your or your Recipient’s bank or payment service provider for processing your Payment Transaction. Depending on the situation, such fees and charges may be deducted from your funds or from the sent amount to your Recipient.

7.5.4When you provide invalid payee details, the receiving financial institution may refuse to process your Payment Transaction. For such cases, we may charge a fee which will be deducted from the sent amount before returning your money to you.

7.5.5We may charge a fee for any amendment or cancellation of an ordered Payment Transaction due to the same reasons. We may also charge a fee for any retrieval requests, regardless if the retrieval is successful.

7.5.6Fees mentioned in Clause 7.4.4 and 7.4.5 are collectively referred to as “administration fees”.

7.6Important Notifications To You

7.6.1We will send you emails to inform you of:

  • Changes in the status of a Payment Transaction;
  • Updates relating to special requests such as amendments, cancellations, or retrievals;
  • Changes to this Agreement;
  • Changes to Services offered by us;
  • Changes to the way we offer our Services to you;
  • Information which may impact the way you use our Services; or
  • Any other information as required by legislation.

7.6.2We aim to provide you with a reasonable notice period for any material changes so that you can make any necessary arrangements.

7.6.3If we do not receive any notice indicating that you did not receive our email, it will be deemed received on the exact same day it was sent to your email address.

7.6.4We will not be liable to you or any other parties for losses or damages arising from events listed in Clause 7.6.1.

7.7Dispute Resolution

7.7.1We will handle your disputes in a fair and independent manner in the most reasonable way possible. In all cases, after considering your inputs, our decision is final and not subject to further disputes.

8.Promotion code and promotion campaigns

8.1Any promotion codes provided by us cannot be used together with other promotions unless otherwise stated.

8.2You must have a successfully registered account with us to use a promotion code.

8.3Any form of promotion is not exchangeable for cash or other benefits.

8.4We reserve the right to change or terminate any promotion at any time without giving you prior notice or any form of compensation.

8.5We reserve the right to disqualify you from the promotion if we deem that you have engaged in conduct that we consider inappropriate or unacceptable.

9.Changes to this Agreement

9.1We reserve the right to change all or part of this Agreement without prior notice or explanation to you. We aim to provide you with 30 calendar days’ notice period before we effect the changes. We will always notify you via your registered email address with us when we make any changes to this Agreement.

9.2If you object to any changes to this Agreement, you must submit a termination request to us at support@transwap.com within 5 business days from the notice of the changes. If you do not notify us within this period, or if you continue to use our Services after the notice of the changes, it shall be assumed that you have accepted the changes.

10.When can we suspend your Account?

10.1We reserve the right to suspend any part or all of your access to our Services if:

  • You have reached the daily balance limit or annual transaction limit specified in Clause 5;
  • You failed to provide information requested by us to facilitate your Payment Transactions;
  • Your Account has been inactive for more than 12 months;
  • We receive instructions to do so by the relevant authorities;
  • We believe that access to your Account has been compromised; or
  • We are required to conduct an investigation into your Accounts.

10.2Depending on the situation and our legal obligations, we may or may not disclose the reason for your suspension.

10.3When your Account is suspended, you will not be able to order any Payment Transactions. Your e-money in your Account still belongs to you, but you will not be able to use them until the suspension if uplifted.

10.4We make no promises to the timeline of uplifting any suspension and we are not liable for any losses, either suffered by you or any third party, for any suspension.

11.When can we terminate this Agreement?

11.1We may immediately suspend or terminate your registration and this Agreement at any time without prior notice or explanation to you if:

  • We discover that you are not eligible to use our Services or that you are using our Services for an impermissible purpose;
  • We discover that your Account is not operated in a proper or regular manner;
  • We discover that you have engaged in behaviour that we view as suspicious;
  • We discover that you have duplicate Accounts opened for the same person;
  • You have breached any of the terms of this Agreement;
  • We are required to do so to fulfil our regulatory obligations, either in Singapore or elsewhere in the world;
  • It is unlawful for us to continue to provide our Services to you;
  • You have given us untrue, inaccurate, incomplete, or misleading information;
  • You become insolvent or bankrupt or subject to judicial proceedings;
  • You become subject to investigation for offences relating to money laundering, tax evasion, or terrorism financing, and their predicate offences;
  • You are constantly uncontactable via the phone number or email address you have provided; or
  • You or your bank initiated a chargeback or rejection of an attempted transfer.

11.2We may suspend or refuse to execute a Payment Transaction if any of the reasons stated above in Clause 11.1 applies to the Recipient of the Payment Transaction.

11.3You may terminate this Agreement by contacting us at support@transwap.com.

11.4In all cases, we reserve the right to determine the final termination date.

11.5If you have any balances in your Account after termination, we will initiate a withdrawal Payment Transaction for all your e-money, less any amount owed to us, converted to Singapore Dollars at the prevailing rate, and charge the prevailing transaction fee as though the Payment Transaction was ordered by you. The withdrawal will be made payable to your Designated Account.

11.6Any termination shall not affect prior transactions or obligations under this Agreement existing at the time of the termination. Upon termination, we will retain records of your transactions with us in accordance with regulatory requirements and our retention policies.

12.Our intellectual property rights

12.1Our Services are protected by copyright, trade secret and other intellectual property laws. We and/or our licensors own the title, copyright and other worldwide intellectual property rights in all services relating to TranSwap. Using TranSwap and our Services does not grant you any rights to our trademarks or service marks.

12.2For the purpose of these Terms and Conditions, intellectual property rights shall mean all patent rights, copyright rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications and registrations, renewals and extensions thereof, under the laws of Singapore and any country, territory or other jurisdiction.

12.3You agree not to alter, copy, distribute, extract, make available, modify, obscure, reproduce, tamper with, or otherwise use any of the content on our Website without our prior written permission. Any use made of such content may be an infringement of rights in that content and we reserve all rights to enforce such rights.

13.Information security

13.1We do not guarantee that our Website or App will be secure or free from bugs or viruses.

13.2You are responsible for configuring your devices and network in a way which allows you safe and secured access to our Website or App.

13.3You must not misuse our Services by introducing viruses, trojans, worms, logic bombs, or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Website, the server on which our Website is stored, or any server, computer, or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you may be guilty of a criminal offence under the Computer Misuse and Cybersecurity Act (Cap. 50A). We will report any such breach to the relevant government authorities, public agencies, and/or law enforcement agencies and co-operate with such authorities/agencies by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately.

13.4Linking To Our Website

13.4.1You may link to our home pages if you follow all of these rules:

  • You may only link to home pages on our Website.
  • You do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
  • You do not suggest or imply any form of association, approval, or endorsement on our part where none exists.
  • You do not frame our Website, whether in part of in full, on any other site.
  • You comply immediately with takedown requests from us, failing which we may charge you a fee determined by us for the continued linkage.

13.4.2 We reserve the right to withdraw linking permission without notice.

13.5Links From Our Website

13.5.1We may provide links to other sites and resources provided by third parties. These links are provided for your information only. We have no control content over such content and thus you must conduct your due diligence and exercise caution when visiting them.

13.5.2 We accept no responsibility for content provided by these sites or resources. We are not liable for any loss or damage that may arise from your use of them.

14.Disclaimer for usage of our Services

14.1In providing the Services to you, neither we nor any of our affiliates, holding companies, subsidiaries, employees, officers, directors, agents, service providers or subcontractors, makes any express warranties or representation to you with respect to the Services except as set out in this Agreement, and all implied and statutory warranties and representations, including without limitation any warranty of fitness for a particular purpose, merchantability or non-infringement are hereby expressly disclaimed to the maximum extent permitted by applicable law.

14.2In no event shall we or any of our affiliates, holding companies, subsidiaries, employees, officers, directors, agents, service providers or subcontractors be liable to you or any third party for any indirect, special, consequential, punitive, exemplary or incidental damages, whether based on negligence, wilful misconduct, tort, contract or any other theory of law, or for any damages for loss of data, loss of income, failure to realize expected revenues or savings, loss of profits or any economic or pecuniary loss.

14.3We will not be liable for any goods or services brought or sold by you that are settled through your participation in the Services.

14.4We may from time to time provide you with information on historical and current market trends, transaction processing methodologies and patterns, updates on currency pairs, or any other information we believe may be of use to you. This can be in the form of verbal communications, articles on our Website, or email communications sent by us. Such information and publications are not intended to be and do not constitute any professional advice or any other advice or recommendation of any sort. We also do not guarantee that such information and publications are accurate, up to date, or applicable to the circumstances of any particular case. You must do your own due diligence and exercise caution when using our Services. We will not be liable to you if you choose to act based on information provided by us.

15.Other important terms

15.1Right Of Set-Off

15.1.1You agree that we are authorised at any time to set-off the funds deposited with us against your debts or liabilities owed to us. We may exercise this right of set-off without notice to you.

15.2Non-Waiver Of Rights

15.2.1Any failure or delay by us in exercising or enforcing any right we have under the terms of these Terms and Conditions does not operate as a waiver of and does not prejudice or affect our right subsequently to act strictly in accordance with our rights.

15.2.2 Moreover, no waiver by TranSwap or any of its rights or powers under this Agreement shall be deemed to have been made unless expressed in writing and signed by its duly authorized representative.

15.3Entire Agreement

15.3.1This Agreement and any documents expressly referred to in it constitute the whole agreement between us, and supersedes any pervious discussions, correspondence, arrangements, or understandings between us.

15.3.2This Agreement may be provided to you in English or any other language that we support. For the avoidance of doubt, any non-English version of this Agreement is provided for translation purposes only. If any inconsistency arises between the English and non-English versions of the Agreement, the English version of the Agreement shall prevail.

15.4Severability

15.4.1If any provision of this Agreement is rendered void, invalid, or unenforceable in any respect under any law, the validity, legality, and enforceability of the remaining terms and conditions shall not be affected or impaired thereby.

15.5Assignment

15.5.1You may not transfer or assign this Agreement to any other person without our prior consent.

15.5.2We may assign our obligations to you under this Agreement without your consent and without any prior notice.

15.6Notices To Us

15.6.1Any notice of legal claim or other process pursuant to this Agreement shall be delivered via post to TranSwap's registered address at:

15.7Our Service Providers

15.7.1We may use agents and third-party service providers to help us deliver our Services to you. In any event, all services provided by us or our agents and service providers are engaged at our discretion and subject to our supervision and control.

15.8Applicable Law and Arbitration

15.8.1This Agreement is entered into in Singapore and is governed by the laws of Singapore, without regard to conflicts or choice of laws principles, whether or not you live in Singapore.

15.8.2TranSwap and you shall attempt to resolve any controversy or claim arising out of or relating to the creation, performance, termination, and/or breach of this Agreement in the first instance through good faith negotiation between the parties.

15.8.3Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.

15.8.4The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.
